The Consultant will Sample Clauses

The Consultant will. 2.2.1 faithfully and diligently perform their duties and provide the Services with reasonable skill, care and attention to the best of their ability; 2.2.2 keep ▇▇▇▇▇ informed of the progress of the work they are doing on all projects in connection with which they are providing the Services; 2.2.3 comply with all reasonable and lawful requests of ▇▇▇▇▇ and to work and co-operate with its personnel; 2.2.4 provide such facilities and equipment as may be necessary to enable them to carry out the Services; 2.2.5 provide the Services in accordance with ▇▇▇▇▇'s Mandatory Policies; 2.2.6 provide the Services in accordance with (a) all applicable laws, statutes and regulations from time to time in force, including (but not limited to) the Data Protection Act 2018, the Bribery Act 2010 and the Modern Slavery Act 2015, and any amendments, re-enactments or revisions of such laws, statutes and regulations.
The Consultant will. (a) provide the Services hereunder in a good, prudent and workmanlike manner, to the best of his abilities, and using his best efforts, skill and judgement; (b) fully observe and comply with all applicable laws, rules and regulations in relation to the actions of the Consultant hereunder or in connection with the Services or the Project, including, without limitation, the Foreign Corrupt Practices Act of 1977 (United States), the Corruption of Foreign Public Officials Act (Canada), the Bribery Act (United Kingdom) and any similar laws in Chile or other relevant countries); (c) comply with all applicable laws, statutes, codes, rules, regulations and ordinances, the requirements of any applicable regulatory agencies, and the terms and conditions of all applicable consents, permits, authorizations and licenses issued in connection with, or applicable to, the Company and the Project; and (d) comply with all applicable laws, policies, procedures, regulations and codes of governmental authorities relevant or applicable to the Company including, without limitation, with respect to conduct and ethics, workplace safety, hazardous materials, and environmental and community relations’ matters.
The Consultant will a. liaise with and report to the Authorised Officer(s); and b. attend meetings and briefings with the staff of the Company as reasonably required by the Authorised Officer(s).
The Consultant will. (a) familiarize himself with all relevant and applicable laws, statutes, codes, rules, regulations, ordinances and directions of duly constituted governmental bodies and the terms and conditions of all applicable consents, permits, authorizations and licenses issued in connection with, or applicable to, the Project and the activities of the Company in Chile; and (b) promptly notify the Company if: (i) he becomes aware that the Company has violated any laws, statutes, codes, rules, regulations, ordinances and directions of duly constituted governmental bodies or the terms and conditions of all applicable consents, permits, authorizations and licenses issued in connection with, or applicable to, the Chilean Projects, or (ii) he receives notice that any administrative or judicial complaint has been filed against the Company.
The Consultant will. (a) Not use Information or Samples or Creative materials, except in performing Services to the Company (b) Not make Information or Samples or Creative materials available to others. (c) Deliver to the Company or destroy any unused samples and all of Consultant’s copies of Information and Creative Materials when requested by the Company. (d) Not file any patent, utility model, or design application based upon or disclosing any Information, Samples, Creative Materials or inventions owned by the Company. (e) Inform the Company of Consultant’s past, present and/or intended future activities in the Field that may conflict with the Consultant’s obligations to the Company, or limit Consultant’s performance of Services.
The Consultant will. (a) keep confidential all of the Confidential Information; and (b) not disclose any part of the Confidential Information to any person, except: (i) as required by law; (ii) with the prior consent of the Company; or (iii) to the Company's agents, employees or advisers in the proper performance of the Consultant's responsibilities and duties under this agreement and if requested by the Company, procure the execution by that person of a confidential disclosure agreement which will be supplied by the Company.
The Consultant will. 1.1.1. Conduct a field inspection of the structures using NBIS criteria, take measurements of the structures, and note site conditions relevant to the hydraulic analysis.

  • Engagement of Consultant The Company hereby engages the Consultant and the Consultant hereby agrees to provide consulting services as set forth in Section 1.2 of this Agreement.

  • Employment of Consultants Part A General 1. Consultants’ services shall be procured in accordance with the provisions of the Introduction and Section IV of the “Guidelines: Selection and Employment of Consultants by World Bank Borrowers” published by the Bank in January 1997 and revised in January 1999 (the Consultant Guidelines) and the following provisions of Section II of this Schedule. 2. In paragraph 1.10 of the Consultant Guidelines, the references to “Bank member countries” and “member country” shall be deemed to be references, respectively, to “Participating Countries” and “Participating Country.” Part B: Quality- and Cost-based Selection 1. Except as otherwise provided in Part C of this Section, consultants’ services shall be procured under contracts awarded in accordance with the provisions of Section II of the Consultant Guidelines, paragraph 3 of Appendix 1 thereto, Appendix 2 thereto, and the provisions of paragraphs 3.13 through 3.18 thereof applicable to quality- and cost-based selection of consultants. 2. The following provisions shall apply to consultants’ services to be procured under contracts awarded in accordance with the provisions of the preceding paragraph. The short list of consultants for services estimated to cost less than $100,000 equivalent per contract may comprise entirely national consultants in accordance with the provisions of paragraph 2.7 of the Consultant Guidelines. Part C: Other Procedures for the Selection of Consultants 1. Selection Based on Consultants’ Qualifications Services estimated to cost less than $100,000 equivalent per contract may be procured under contracts awarded on the basis of consultant’s qualifications in accordance with the provisions of paragraphs 3.1 and 3.7 of the Consultant Guidelines. 2. Selection Based on Least Cost Services for audits and services estimated to cost less than $50,000 up to an aggregate amount not to exceed $200,000 equivalent, may be procured under contracts awarded in accordance with the provisions of paragraphs 3.1 and 3.6 of the Consultant Guidelines.

  • Employment of Consultants In order to assist the Borrower in carrying out the Project, the Borrower shall employ consultants whose qualifications, experience and terms and conditions of employment shall be satisfactory to the Bank. Such consultants shall be selected in accordance with principles and procedures satisfactory to the Bank on the basis of the "Guidelines for the Use of Consultants by World Bank Borrowers and by the World Bank as Executing Agency" published by the Bank in August 1981. 1. For the purposes of this Schedule:

  • Employment of the Adviser The Trust hereby employs the Adviser to manage the investment and reinvestment of the Fund's assets and to administer its affairs, subject to the direction of the Board of Trustees and the officers of the Trust, for the period and on the terms hereinafter set forth. The Adviser hereby accepts such employment and agrees during such period to render the services and to assume the obligations herein set forth for the compensation herein provided. The Adviser shall for all purposes herein be deemed to be an independent contractor and shall, except as expressly provided or authorized (whether herein or otherwise), have no authority to act for or represent the Fund or the Trust in any way or otherwise be deemed an agent of the Fund or the Trust.

  • Employment of Consultant CONSULTANT will perform as an independent contractor all services under this Contract to the prevailing professional standards consistent with the level of care and skill ordinarily exercised by members of its profession, both public and private, currently practicing in the same locality under similar conditions, including reasonable, informed judgments and prompt, timely action. If CONSULTANT is representing that it has special expertise in one or more areas to be utilized in this Contract, then CONSULTANT agrees to perform those special expertise services to the appropriate local, regional or national professional standards.
