Common use of Expiration or Termination without Prejudice Clause in Contracts

Expiration or Termination without Prejudice. The expiration of termination of this Agreement shall be without prejudice to all rights and obligations of the Parties accrued under this Agreement prior to such expiration or termination but otherwise the Parties shall have no further obligations hereunder following such expiration or termination except for obligations which survive such expiration or termination pursuant to this Agreement, including, without limitation, the obligation to pay liquidated damages.

The expiration of or termination of this Agreement shall be without prejudice to all rights and obligations of the Parties that have accrued under this Agreement prior to until the date of such expiration or termination but otherwise termination. Notwithstanding the above, the Parties shall have no further obligations hereunder following such expiration or termination except for the rights or obligations which by their nature survive such expiration or termination or pursuant to the provisions of this Agreement, including, without limitation, the obligation to pay liquidated damages.
