Extension of Effective Date. In the event that the closing of the Merger is delayed for any reason and does not take place on March 23, 2012, the Effective Date and the commencement of the Transition Period shall be extended to coincide with the date on which the Merger closes. In such event, the Termination Date shall be amended to the last day of the revised Transition Period as so extended.
