Extensions, Waivers and Amendments. At any time prior to the Closing, each of the parties hereto may (i) extend the time for the performance of any of the obligations or acts of the other party hereto, (ii) waive any inaccuracies in the representations and warranties of the other party contained herein or in any document delivered pursuant hereto, (iii) waive compliance with any of the agreements of the other party contained herein or (iv) waive any condition to its obligations hereunder. Any agreement on the part of a party hereto to any such extension or waiver shall be valid only if set forth in a written instrument signed on behalf of such party. No failure or delay in exercising any right, power or privilege hereunder will operate as a waiver thereof, nor will any single or partial exercise thereof preclude any other or further exercise of any right, power or privilege hereunder. This Agreement may not be modified or amended except by an instrument or instruments in writing signed by an authorized officer of each party.

The Sellers (on their own behalf or by any agent) and Buyer, may, by written agreement, (i) extend the time for the performance of any of the obligations or other acts of the parties hereto, (ii) waive any inaccuracies in the representations and warranties contained in this Agreement or in any docu-ments delivered pursuant to this Agreement, (iii) waive compliance with or modify any of the agreements contained in this Agreement and (iv) waive or modify performance of any of the obligations of any of the parties to this Agreement.

The Parties may by written ---------------------------------- agreement (i) extend the time for performance of any of the obligations or other acts of the Parties hereto, (ii) waive any inaccuracies in the representations contained in this Agreement or in any of the documents delivered pursuant to this Agreement and (iii) waive compliance with or modify any of the agreements contained in this Agreement and waive or modify performance of any of the obligations of any of the Parties hereto; provided, however, that no failure or delay on the part of any Party in exercising any of its respective rights hereunder upon any failure by any other party to perform or observe any condition, covenant or provision herein contained shall operate as a waiver thereof, nor shall any single or partial exercise of any such rights preclude any other or further exercise thereof or the exercise of any other right hereunder.
