Facsimile Notices. Each Borrower shall indemnify the Agent against any loss or liability which the Agent incurs as a result of the Agent accepting and/or acting upon any instructions under the Finance Documents received by the Agent from that Borrower by facsimile and which may not have been incurred if, at the time of receipt, the Agent had been given the instructions other than by facsimile.
Facsimile Notices. All parties to this Custodial Agreement agree that where any written consent or notice is required of any party that a facsimile transmission signed on behalf of that party will be sufficient to serve as such written consent or notice. The Custodian may act upon any instrument or other writing believed by it in good faith to be genuine, and to be signed or presented by the proper person. Each party to this Custodial Agreement shall provide Custodian with notice executed by an officer of such party containing the names of persons authorized, subject to change by subsequent notice executed by an officer of such party and received in writing by Custodian, to receive the Possessory Collateral, to sign notice or otherwise act on behalf of those respective parties. Such notice shall additionally provide sample signatures for such authorized persons. Custodian shall have no liability and shall be held harmless by Borrower for any action that it takes or fails to take in reliance on the signature or facsimile thereof provided pursuant to this Section and not revoked in writing.

Facsimile Notices. Each Party shall indemnify the other Party against any loss or liability which such other Party incurs as a result of such other Party accepting and/or acting upon any notices hereunder received by such other Party from the first Party by facsimile and which may not have been incurred if, at the time of receipt, such other Party had been given the notice other than by facsimile.
Facsimile Notices. The General Partner agrees to deliver hard copies, personally delivered or deposited prepaid for priority delivery by nationally recognized courier service, or by U.S. mail of any notices, demand or requests transmitted to the Investor initially via telecopier, email or other similar device. In addition, no Capital Calls will be delivered to the Investor via telecopier, email or other similar device.
Facsimile Notices. For purposes hereof, delivery of written notice shall be complete upon receipt of electronic facsimile, provided that any facsimile notice shall only be deemed received if (a) the transmission thereof is confirmed, and (b) facsimile notice is followed by written notice, made either by (i) personal delivery thereof, or (ii) via deposit in regular mail, postage prepaid, within three (3) business days following the facsimile notice. Facsimile Notices. A Notice given or made under this Agreement may also be sent by facsimile if the Notice is sent to the facsimile number last notified by the intended recipient to the sender. A Notice sent by facsimile will be deemed to have been given when received in legible form on the date of transmission shown on a transmission report produced by the facsimile machine of the sender which indicates that the entire notice was transmitted successfully.
