False Representation or Warranty. Borrower shall have made any statement, representation or warranty in this Agreement or in any other Loan Document to which Borrower is a party or in a certificate executed by Borrower incident to this Agreement, which is at any time found to have been false in any material respect at the time such representation or warranty was made.
False Representation or Warranty. Any representation, warranty or statement contained in this Agreement, in any of the Relevant Documents or in any other writing delivered to Lender in connection with the Collateral, this Agreement or any of the transactions contemplated thereby, proves to have been incorrect in any material respect when made;

Any representation or warranty by either of the Parties in this Agreement or in any agreement, instrument, or certificate executed under this Agreement or in connection with any transaction contemplated by this Agreement is false or misleading in any material respect when made.
False Representation or Warranty. The making or furnishing by any Obligor to LaSalle of any representation, warranty, certificate, schedule, report or other communication within or in connection with this Agreement or the Other Agreements or in connection with any other agreement between such Obligor and LaSalle, which is untrue or misleading in any material respect, or the failure of any Obligor to perform, keep or observe any of the covenants, conditions, promises, agreement of such Obligor under any other agreement with any Person if such failure has or is reasonably likely to have a Material Adverse Effect.
False Representation or Warranty. Any representation, warranty or statement by ESP contained in this Agreement or any other Transaction Document when made, reaffirmed or hereby deemed made or reaffirmed is or was, when made, reaffirmed or hereby deemed made or reaffirmed, materially incorrect.
False Representation or Warranty. Any representation or warranty made or deemed made by or on behalf of the Borrower to the Lenders or any Agent under or in connection with this Agreement or any Loan, or any other Loan Document (excluding any certificate or information) shall be false as of the date on which made, or any certificate or information delivered in connection with this Agreement shall be false in any material respect as of the date on which made.
False Representation or Warranty. Any warranty or representation made by or on behalf of the Borrowers contained herein or in any of the Loan Documents or in any document furnished in compliance or connection with the Loan Documents is false or incorrect in any material respect when made and such warranty or representation remains false or incorrect fifteen (15) days after notice from the Bank of such false or incorrect warranty or representation;
False Representation or Warranty. Any representation or warranty made in or in connection with the execution and delivery of this Agreement or any of the other Loan Documents shall prove to have been materially incorrect, false or misleading on the date as of which made; or
False Representation or Warranty. If any representation or statement made or deemed to be made by the Borrower in the Loan Documents or any other document delivered by or on behalf of the Borrower under or in connection with any Loan Document is or proves to have been incorrect or misleading in any material and adverse respect when made or deemed to be made. No Event of Default will occur under this Section 9.2 if the Taxes in respect of which the representation given in Section 7.16 was made does not individually or in the aggregate exceed an amount of US$5,000,000 (five million and 00/100 Dollars) as of any given date.
