False Warranties; Breach of Representations. Any warranty or representation made by the Borrower or any of the Other Loan Parties in this Agreement or any other Loan Document or in any certificate or other writing delivered under or pursuant to this Agreement or any other Loan Document, or in connection with any provision of this Agreement or related to the transactions contemplated hereby shall prove to have been false or incorrect or breached in any material respect on the date as of which made.

Any warranty or representation made by the Borrower in this Agreement or in any other Loan Document or in any certificate or other writing delivered by the Borrower under or pursuant to this Agreement or any other Loan Document, or in connection with any provision of this Agreement, or related to the transactions contemplated hereby shall prove to have been false or incorrect or breached in any material consequential respect on the date as of which made. Judgments. A final judgment or judgments is entered, or an order or orders of any judicial authority or governmental entity is issued against the Borrower or Holt'x Xxxar (such judgment(s) and order(s) hereinafter collectively referred to as "Judgments" and each a "Judgment") (i) for payment of money, which Judgment or Judgments, in the aggregate, is in excess of the amount that is covered by a valid insurance policy issued by an insurer that is solvent at the time of such judgment; or (ii) for injunctive or declaratory relief which would have a material adverse effect on the ability of the Borrower or Holt'x Xxxar to conduct its business, and such Judgment is not discharged or execution thereon or enforcement thereof stayed pending appeal, within thirty days after entry or issuance thereof, or, in the event of such a stay, such Judgment is not discharged within thirty days after such stay expires. Netplex hereby agrees to notify DSA in writing within five (5) calendar days of it learning of the occurrence of any of the events described in this paragraph.
