FARMING SERVICES a. The Managers will perform all farming services that shall be necessary or desirable from time to time in order to provide for the economical growth and yield of the New Orchards in accordance with proven and sound agricultural practices, it being understood and agreed that the obligations and duties to provide farming services, personnel, equipment and the representations and warranties specified in this Section 2, Section 3 and Section 8 shall apply to Ka'u only with respect to the Keaau and Ka'u Orchards and shall apply to Mauna Kea only with respect to the Mauna Kea Orchards. The Managers will perform such services to the best of their skills and abilities, and in a manner consistent with the practices employed by them in the planting, cultivation and harvesting of other macadamia orchards under their management and control. Owner acknowledges that Managers make no guarantee as to the future yields from the New Orchards, and Owner recognizes and assumes the agricultural risks associated with the cultivation and harvesting of macadamia nuts, and the natural risks in the areas (but specifically excluding the environmental risks specified in Section 8), including but not limited to wind, rain, hurricane and volcanic risks. b. Without limiting the generality of the foregoing description of its services, the Managers will perform the following services: The Managers will provide and maintain all necessary or desirable windbreak trees and replacement macadamia trees; the Managers will perform all necessary or desirable cultivation, weed and pest control, irrigation, fertilization, pruning and hedging, replanting, disposal, and related services; the Managers will harvest, transport and husk the nuts from the New Orchards in accordance with proven and sound harvesting practices; and the Managers will deliver the harvested nuts to the processing plant designated by Owner. All of these services will be performed at Owner's expense as set forth herein. c. The Managers will provide such centralized office and other support services and facilities as may be necessary or appropriate in order to provide adequate support for all field operations hereunder, including but not limited to staff management, accounting, purchasing, industrial relations, and engineering, agricultural, garage and warehouse services and facilities. d. FARMING SERVICES. (a) Manager will perform all farming services that shall be necessary or desirable from time to time in order to provide for the economical growth and yield of the Owner's Macadamia orchards in accordance with proven and sound agricultural practices. Manager will perform such services to the best of its skill and ability, and in a manner consistent with the practices employed by Manager in the planting, cultivation and harvesting of other macadamia trees under its management and control. Owner acknowledges that Manager makes no guarantee as to the future yields from the orchards and Owner recognizes and assumes the agricultural risks associated with the cultivation and harvesting of macadamia nuts, and the natural risks in the area, including but not limited to wind, rain, drought and volcanic risks. (b) Without limiting the generality of the foregoing description of its services, Manager will perform the following services: Manager will provide and maintain all necessary or desirable cultivation, weed and pest control, ground cover, tree bracing, transplanting, soil and plant tissue analysis, fertilization, pruning and hedging, replanting, disposal, drainage and erosion control, harvesting, husking, transportation of nuts to processor, agricultural research experiments, and related services to include preparing land for mechanical harvesting. All such services will be performed at Owner's expense as set forth herein. (c) Manager will keep the Orchard planted with macadamia trees (and, where necessary or appropriate, windbreak trees) during the entire term of this Contract, and will provide such replacement trees as may be necessary from time to time due to tree damage, disease or mortality. Owner recognizes that, due to unpredictable climatic conditions and agricultural and natural risks, the amount of future tree damage, disease and mortality is uncertain and Manager gives no warranties or guarantees whatsoever concerning future rates thereof. Replacement trees will be grafted trees of recommended commercial varieties usually procured from Manager's nursery, and will be ready for field planting. The cost of replacement trees will be charged to Owner as a direct cost pursuant to Section 6(d) without xxxx-up over the respective Manager's internal cost; No charge will be made for replacement trees if replanting is required because of Manager's negligence.   • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. By signing this Contract, you agree to accept your residence assignment, and understand this assignment may change. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges. You also agree to familiarize yourself and comply with all University policies governing occupancy, including those set forth in this Contract and in the UHDS publication Student Policy and Information Guide, to be considerate of other residents and to respect the rights of others at all times.   • Counseling Services SUD therapy/counseling is a relationship between people that works in part because of clearly defined rights and responsibilities held by each person. As a client in the SUD counseling process, you have certain rights and responsibilities that are important for you to understand. There are also legal limitations to those rights that you should be aware of. I, as your SUD counselor, have corresponding responsibilities to you. These rights and responsibilities are described in the following sections. SUD therapy/counseling has both benefits and risks. Risks may include experiencing uncomfortable feelings, such as sadness, guilt, anxiety, anger, frustration, loneliness and helplessness, because the process of therapy often requires discussing the unpleasant aspects of your life. However, therapy has been shown to have benefits for individuals who undertake it. Therapy often leads to a significant reduction in feelings of distress, increased satisfaction in interpersonal relationships, greater personal awareness and insight, increased skills for managing stress and resolutions to specific problems. But, there are no guarantees about what will happen. Therapy requires a very active effort on your part. In order to be most successful, you will want to put into practice things we discuss outside of sessions. The first 2-3 sessions will involve a comprehensive evaluation of your needs. By the end of the evaluation, I will be able to offer you some initial impressions of what our work might include. At that point, we will discuss your treatment goals and create an initial treatment plan. You should evaluate this information and make your own assessment about whether you feel comfortable working with me. If you have questions about my procedures, we should discuss them whenever they arise. If your doubts persist, I will be happy to help you set up a meeting with another SUD professional for a second opinion. PROFESSIONAL FEES The standard fee for a 50-minute individual session is $125.00 and the standard fee for a 90 minute couples session is $175.00 You are responsible for paying the full amount at the time of your session, unless prior arrangements have been made. Payment must be made by cash, or credit card. If you refuse to pay your debt, I reserve the right to use an attorney or collection agency to secure payment. APPOINTMENTS Appointments will ordinarily be 45-60 minutes in duration, once per week at a time we agree on, although some sessions may be more, or less frequent as needed. The time scheduled for your appointment is assigned to you and you alone. If you need to cancel or reschedule a session, I ask that you provide me with 24-hours notice. If you miss a session without canceling, or cancel with less than 24-hour notice, my policy is to collect the full session fee of $125.00/individual or $175.00/couples. It is important to note that insurance companies do not provide reimbursement for cancelled sessions; thus, you will be responsible for 100% of the full rate. If it is possible, I will try to find another time to reschedule the appointment. In addition, you are responsible for coming to your session on time; if you are late, your appointment will still need to end at the scheduled time. Finally, I have the right to terminate treatment after 2 missed appointments or habitual tardiness. Thank you for understanding. INSURANCE I am not a participating provider for any insurance plan. If you would like, I will supply you with a receipt of payment for services, which you can submit to your insurance company for reimbursement. Please note that not all insurance companies reimburse for out-of-network providers. PROFESSIONAL RECORDS I am required to keep appropriate records of the SUD therapy/counseling services that I provide. Your records are maintained in a secured, encrypted, HIPAA compliant web-based system. I keep brief records noting that you were here, your reasons for seeking SUD therapy/counseling, the goals and progress we set for treatment, your diagnosis, topics we discussed, your medical, social, and treatment history, records I receive from other providers, copies of records I send to others, and your billing records. Except in unusual circumstances that involve danger to yourself, you have the right to a copy of your file. Because these are professional records, they may be misinterpreted and / or upsetting to untrained readers. For this reason, I recommend that you initially review them with me, or have them forwarded to another mental health professional to discuss the contents. You also have the right to request that a copy of your file be made available to any other health care provider at your written request.

  • Engineering Services Definition: Engineering Services includes any service or creative work, the adequate performance of which requires education, training and experience in the application of special knowledge in consulting, investigating, evaluating, planning and designing, engineering principles. Engineering Services covered by the Xxxxxx Architect-Engineers Act (40 U.S.C. 1102) are not covered in the primary scope of OASIS SB.   • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Ordering Services a) By submitting an Order to Megaport: 1. Customer warrants that the information Customer provides to Megaport in an Order is true and correct and that Megaport may rely upon it; and 2. Customer is making a binding offer to acquire the Services described in the Order on the terms set out in this Agreement, which Megaport may accept at its discretion. An agreement to supply a Service is formed on the date Megaport provisions that Service and charges apply from the Billing Commencement Date.

  • Ongoing Services It is important to review every investment you hold and at regular intervals. At the time of, or prior to, our recommendation to you we will discuss our on-going service proposition. This is confirmed in our ‘service proposition and engagement’ document which will be sent to you separately from this agreement.

  • Financing Services The Manager shall: (i) identify and evaluate potential financing and refinancing sources, engaging a third party broker if necessary; (ii) negotiate terms of, arrange and execute financing agreements; (iii) manage relationships between the Company and its lenders, if any; and (iv) monitor and oversee the service of the Company’s debt facilities and other financings, if any.
