FDIC Policy Statement. The Company and the Bank are not subject to, and do not expect that, as a result of the issuance of Common Shares provided herein or otherwise arising in connection with the Bank’s acquisition of the Failed Bank, they will become subject to, the FDIC Statement of Policy on Qualifications for Failed Bank Acquisitions (as in effect and interpreted on the date hereof) (the “FDIC Policy Statement”).
