Fee and Expenses Paid. There shall have been paid to the Administrative Agent, for the account of the Administrative Agent and the Lenders, as applicable, all fees due and payable on or before the Closing Date (including all such fees described in the Fee Letter), and all reasonable expenses due and payable on or before the Closing Date in respect of which the Borrower shall have received a request in accordance with Section 9.3(c) on or prior to the Closing Date.

There shall have been paid to the Administrative Agent, for the account of the Administrative Agent and the Lenders (including any Person becoming a Lender as part of such Facilities Increase on such Facilities Increase Date), as applicable, all fees and expenses (including reasonable out-of-pocket fees, charges and disbursements of counsel) invoiced with reasonable supporting documentation that are due and payable on or before the Facilities Increase Date (including all fees described in the Fee Letters).

There shall have been paid (a) to the Existing Administrative Agent, for the account of the Existing Administrative Agent and all lenders under the Existing Credit Agreement, as applicable, all accrued by unpaid interest and fees and such other fees and expenses due and payable to such Persons on or before the Effective Date and (b) to the Administrative Agent, for the account of the Administrative Agent, the Arranger and the Lenders, as applicable, all fees due and payable on or before the Effective Date (including all such fees described in the Fee Letter and the Additional Fee Letter), and all expenses due and payable on or before the Effective Date.
