Common use of Fee Recovery Clause in Contracts

Fee Recovery. The Adviser shall be entitled to recover from the Fund, subject to approval by the Board of Trustees of the Trust, amounts waived or reimbursed by the Adviser with respect to the Fund pursuant to this Agreement for a period of up to three (3) years from the year in which the Adviser reduced its compensation and/or assumed expenses for the Fund.

Fee Recovery. The Adviser shall be entitled to recover from the Fund, subject to approval by the Board of Trustees of the Trust, amounts waived or reimbursed by the Adviser with respect to the Fund pursuant to this Agreement for a period of up to three (3) years from the year in date on which the Adviser reduced its compensation and/or assumed expenses for the Fund.

Fee Recovery. The Adviser shall be entitled to recover from the Fundrecover, subject to approval by the Board of Trustees of the Trust, such amounts waived or reimbursed by the Adviser with respect to the Fund pursuant to this Agreement for a period of up to three (3) years from the year in date on which the Adviser reduced its compensation and/or assumed expenses for the Fund. The Adviser is permitted to seek reimbursement from the Fund for fees it waived and Fund expenses it paid to the extent the total annual fund operating expenses do not exceed the limits described above or any lesser limits in effect at the time of reimbursement.

The Adviser shall be entitled to recover from the Fundrecover, subject to approval by the Board of Trustees of the Trust, such amounts waived or reimbursed by the Adviser with respect to the Fund pursuant to this Agreement for a period of up to three (3) years from the year in which the Adviser reduced its compensation and/or assumed expenses for the FundFunds.

Fee Recovery. The Adviser shall be entitled to recover from the Fund, subject to approval by the Board of Trustees of the Trust, amounts waived or reimbursed by the Adviser with respect to the Fund pursuant to this Agreement for a period of up to three (3) years year period following the date of such fee waiver and/or expense reimbursement. The Adviser is permitted to seek reimbursement from the year Fund for fees it waived and Fund expenses it paid to the extent the total annual fund operating expenses do not exceed the limits described above or any lesser limits in which effect at the Adviser reduced its compensation and/or assumed expenses for the Fundtime of reimbursement.

The Adviser is permitted to seek reimbursement from the Fund for fees it waived and Fund expenses it paid to the extent the total annual fund operating expenses do not exceed the limits described above or any lesser limits in effect at the time of reimbursement.

Fee Recovery. The Adviser shall be entitled to recover from the Fund, subject to approval by the Board of Trustees of the Trust, such amounts waived or reimbursed by the Adviser with respect to the Fund pursuant to this Agreement for a period of up to three (3) years from the year in which the Adviser reduced assumed or reimbursed the expenses of the Institutional Class or the Fund and/or waived its compensation and/or assumed advisory fee, subject to approval by the Board of Trustees of the Trust, which approval shall not be unreasonably withheld. No recoupment will occur unless the expenses for of the FundInstitutional Class shares are below the Expense Limitation.

The Adviser shall be entitled to recover from the a Fund, subject to approval by the Board of Trustees of the Trust, amounts waived or reimbursed by the Adviser with respect to the a Fund pursuant to this Agreement for a period of up to three (3) years from the year in which the Adviser reduced its compensation and/or assumed expenses for such Fund, provided that any recovery by the Adviser of amounts previously waived or reimbursed will not result in the Fund.’s operating expenses exceeding the limit set forth on Schedule A.
