Common use of Fee Waiver Clause in Contracts

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.59% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.87% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.98% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.99% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.50% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.591.35% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.10% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.63% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as of May 1, 2023. Any management fees waived with respect to the date first written aboveFund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.50% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as of upon the date first written aboveof this Agreement. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.55% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.35% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.75% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by such Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.49% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written aboveJune 30, 2022.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.09% (the “Reduced Fee”) of the Fund’s average daily net assets effective as for the term of the date first written abovethis Agreement.

The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.48% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.591.14% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.10% (the “Reduced Fee”) of the Fund’s average daily net assets effective as upon the commencement of the date first written aboveFund’s operations.

Any management fees waived with respect to the date first written aboveFund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.49% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written aboveJune 30, 2021.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.62% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets assets, effective as upon the commencement of the date first written aboveFund’s operations. Any management fees waived with respect to the Fund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.00% (the “Reduced Fee”) ), which is calculated daily and paid monthly, at an annual rate of the Fund’s average daily net assets effective as of assets. Any management fees waived with respect to the date first written aboveFund under this Agreement are not subject to reimbursement to the Adviser by the Fund.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee from 0.94% to 0.590.79% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.15% (the “Reduced Fee”) of the Fund’s average daily net assets up to $100 million of assets effective as of the date first written above.

Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.590.25% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.
