Common use of Fiduciary Accounts Clause in Contracts

Fiduciary Accounts. The Company and each of its Subsidiaries has properly administered all accounts for which it acts as a fiduciary, including but not limited to accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator or investment advisor, in accordance with the terms of the governing documents and applicable laws and regulations. Neither the Company nor any of its Subsidiaries, nor any of their respective directors, officers or employees, has committed any breach of trust with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

Fiduciary Accounts. The Company It and each of its Subsidiaries has properly administered all accounts for which it or such Subsidiary acts as a fiduciary, including including, but not limited to to, accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator or investment advisor, in accordance with the terms of the governing documents of such account and applicable laws and regulations. Neither the Company it nor any of its Subsidiaries, nor to its Knowledge any director, officer or employee of it or any of their respective directorsits Subsidiaries, officers or employees, has committed any breach of trust with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

Neither the Company LPB nor any of its Subsidiaries, nor any of their respective directors, officers or employees, has committed any breach of trust trust, to LPB’s knowledge, with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

Neither None of the Company nor any of Corporation, its Subsidiaries, nor Subsidiaries or any of their respective directors, officers or employees, has committed any breach of trust with respect to any such fiduciary account account, and the records accountings for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

The Company and each of its Subsidiaries Bank has properly administered in all material respects all accounts for which it acts as a fiduciary, including but not limited to accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator custodian or investment advisor, in accordance with the material terms of the governing documents and applicable laws state and regulationsfederal law and regulations and common law. Neither To the Company nor Knowledge of Citizens and the Bank, none of the Bank or any of its Subsidiaries, nor any of their respective directors, officers or employees, employees has committed any breach of trust with respect to any such fiduciary account account, and the records accountings for each such fiduciary account are true and correct in all material respects and accurately reflect the assets of such fiduciary account.

The Company First Mutual and each of its Subsidiaries has have properly administered all accounts for which it acts as a fiduciary, including but not limited to accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator or investment advisor, in accordance with the terms of the governing documents and applicable laws and regulations. Neither the Company First Mutual nor any of its Subsidiaries, nor nor, to First Mutual’s knowledge, any of their respective directors, officers or employees, has committed any breach of trust with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

The Each of Company and each of its Subsidiaries the Bank has properly administered all accounts for which it acts as a fiduciary, including but not limited to accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator or investment advisor, in accordance with the terms of the governing documents and applicable laws and regulations. Neither the Company nor any of its Subsidiariesthe Bank, nor any of their respective directors, officers or employees, has committed any breach of trust with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

The Company Peoples and each of its Subsidiaries has properly administered all accounts for which it acts as a fiduciary, including but not limited to accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator or investment advisor, in accordance with the terms of the governing documents and applicable laws and regulations. Neither the Company Peoples nor any of its Subsidiaries, nor any of their respective directors, officers or employees, has committed any breach of trust trust, to Peoples’ knowledge, with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

Neither the Company DELTA nor any of its Subsidiaries, nor nor, to DELTA’s Knowledge, any of their respective directors, officers or employees, has committed any breach of trust with respect to any fiduciary account and the records for each such fiduciary account are true and correct and accurately reflect the assets of such fiduciary account.

The Company PBB and each of its Subsidiaries has properly administered all accounts for which it acts as a fiduciary, including but not limited to accounts for which it serves as a trustee, agent, custodian, personal representative, guardian, conservator or investment advisor, in accordance with the terms of the governing documents and applicable laws laws, regulations and regulationscommon laws.
