Common use of Financial elements Clause in Contracts

Financial elements. It is agreed between the Parties that MANGOPAY xxxxx xollect the statistics for electronic money sales and calculate each month the “Partner’s Total Revenue” corresponding to the amounts paid by the Customers to the Partner (acting for the account of the issuer) in accordance with the pricing conditions laid down in the General Terms and Conditions of Sale agreed between the Partner (acting for the account of the Issuer) and its Customers. MANGOPAY xxxxx xransfer each month to the Partner the difference between the Partner’s Total Revenue and MANGOPAY’x xxxxxeration (“MANGOPAY Transaction Fees”) as electronic money issuer and manager. Such difference constitutes the fees paid by the Issuer to the Partner for the distribution of e-money. It is agreed between the Parties that a minimum monthly fee of EUR 30 will apply on the MANGOPAY's invoice to the Partner from the fourth month after the live date of the production account if the monthly Transaction Fees are below EUR 30. These fees are detailed on the monthly invoice sent by MANGOPAY to the partner in the first half of the following month. Invoices must be paid within 30 days after their issuance. Chargebacks and disputes handling fee In case of disputed payments (or chargeback), MANGOPAY shall charge EUR 15 for every lost or not contestable chargeback or dispute for handling fee. The handling fee will be charged monthly. For the avoidance of any doubt chargeback or dispute won will not be charged This handling fee does not prevent the Partner for being liable of the amount of the chargeback or dispute as stated in article 6. Refused KYC documents for natural users When the rate of refused identity proof KYC documents for natural users is above 15% on a civil month period, MANGOPAY shall invoice EUR 1 for every refused KYC document beyond the 15% threshold except when the refusal arises from a MANGOPAY compliance decision independently of the document quality. For the avoidance of any doubt, KYC documents for natural users will not be charged when validated or when the refusal rate is under the 15% threshold per civil month. KYC for Legal users (businesses, sole traders, organizations) MANGOPAY shall invoices EUR 2.5 to perform the KYC of any Legal user (defined as business, sole trader or organization).
