First Quarterly Payment Date. Anything to the contrary in this Indenture notwithstanding, for the first Payment Date following the Issue Date— (i) the Excess Cash shall be an amount equal to the positive difference, if any, between (I) the Pre-Issue Excess Cash, determined as of the Issue Date and (II) the amount paid as a redemption payment on the Notes in accordance with subsection (a) above; (ii) the calculation of Excess Cash required by Section 3.03(b)(i) shall be in the form of Appendix G; (iii) references in this Article 3 to the end of or the last day of the Fiscal Quarter immediately preceding the Payment Date shall be deemed to refer to the Issue Date, other than in Section 3.03(b)(iv) in which the reference shall be deemed to refer to the Initial Excess Cash Payment Date, and references to the Excess Cash for the Fiscal Quarter immediately preceding the Payment Date shall be deemed to refer to the amount calculated pursuant to Section 3.09(b)(i); (iv) no determination of Indenture Agent Expenses shall be made as otherwise provided in Section 3.03(c), and no payment of Indenture Agent Expenses shall be made as otherwise provided in Section 3.06(a)(i); and (v) for purposes of Sections 3.05(d)(ii) and 3.05(ii), references to the Interest Reserve Amount as of the end of the immediately preceding Fiscal Quarter shall be deemed to mean $25 million.

  • Quarterly Payments The quarterly payment cannot be increased in cases of target over-achievement. The payments are given on cumulative outputs, in arrears, and therefore the maximum payment available will be given by the end of the Contract if the agreed (target) number of outputs is reached or exceeded.

Reports must be submitted in MS Excel using the DMS Quarterly Sales Report Format, which can be accessed at xxxxx://xxx.xxx.xxxxxxxxx.xxx/business_operations/ state_purchasing/vendor_resources/quarterly_sales_report_format. Initiation and submission of the most recent version of the Quarterly Sales Report posted on the DMS website is the responsibility of the Contractor without prompting or notification from the Department’s Contract Manager. If no orders are received during the quarter, the Contractor must email the DMS Contract Manager confirming there was no activity.

  • Payment Due Payment for services provided by BellSouth, including disputed charges, is due on or before the next xxxx date. Information required to apply payments must accompany the payment. The information must notify BellSouth of Billing Account Numbers (BAN) paid; invoices paid and the amount to be applied to each BAN and invoice (Remittance Information). Payment is considered to have been made when the payment and Remittance Information are received by BellSouth. If the Remittance Information is not received with payment, BellSouth will be unable to apply amounts paid to Freedom’s accounts. In such event, BellSouth shall hold such funds until the Remittance Information is received. If BellSouth does not receive the Remittance Information by the payment due date for any account(s), late payment charges shall apply.

  • Payment Due Dates Notwithstanding the provisions of Sections II and III above, payment due date shall be at least invoice date plus 30 days. If the County is late in issuing an invoice, the contracting entity would always have at least invoice date plus 30 days to pay. If the County is early in issuing an invoice, the contracting entity would still have a payment due date of either 60 days after the beginning of the quarter (quarterly invoices) or 30 days after the beginning of the service month (monthly invoices).

  • Date Increment Due Increments shall accrue and become due and payable on the next day following completion of required service as an employee in the class, unless otherwise provided herein.
