Fiscal Year Change. The Parent shall change its fiscal year end to December 31 on or promptly after the Effective Date, if the Parent’s fiscal year end is not December 31 as of immediately prior to the Effective Time.

Neither the Parent nor any Credit Party shall change its fiscal year, without the consent of the Required Lenders, which consent shall not be unreasonably withheld, provided that the Parent and the Credit Parties may change their fiscal year to June 30 after giving written notice thereof to the Lenders.
