Fitch Definitions. For the purposes of this Part 5(m): an "Initial Fitch Note Downgrade Event" will occur where: (a) the long-term, unsecured and unsubordinated debt obligations of Party A (or its successor) or any guarantor of Party A's obligations under this Agreement (or its successor) cease to be rated at least as high as "A+" (or its equivalent) by Fitch, and the short-term, unsecured and unsubordinated debt obligations of Party A (or its successor) or any guarantor of Party A's obligations under this Agreement (or its successor), cease to be rated at least as high as "F1" (or its equivalent) by Fitch; and (b) as a result the then current ratings of the Issuer Notes may in the reasonable opinion of Fitch be downgraded or placed on credit watch for possible downgrade;

Fitch Definitions. For the purposes of this Agreement: An "Initial Fitch Rating Event" will occur if neither Party A (nor its successor nor permitted assignee) nor any Credit Support Provider (that is a Fitch Eligible Guarantor) from time to time in respect of Party A has (A) if the Fitch Highly Rated Thresholds apply, the Minimum Fitch Highly Rated Counterparty Ratings, or (B) if the Fitch Highly Rated Thresholds do not apply, the Unsupported Minimum Counterparty Ratings.
