Five Hundred Thousand Dollars and No. 100 ($500,000.00) ("Downpayment A") shall be payable simultaneously with the execution and delivery of this Agreement, by delivery to Chicago Title Insurance Company (the "Escrow Agent") of a certified or bank check drawn on or by a bank which is a member of the New York Clearing House Association (a "Clearing House Bank") or by wire transfer of immediately available funds to the Escrow Agent's account as set forth in the Escrow Agreement; and (ii) provided that the Purchaser has not delivered Purchaser's Termination Notice, Four Million Five Hundred Thousand Dollars and No/100 ($4,500,000.00) ("Downpayment B") (Downpayment A and Downpayment B shall sometimes hereinafter be collectively referred to as the "Downpayment") shall be payable to the Escrow Agent on or before 5:00 p.m. Boston, Massachusetts time on or before the date hereof, by means of a certified or bank check drawn on or by a Clearing House Bank or by wire transfer of immediately available funds to the Escrow Agent's account as set forth in the Escrow Agreement. The Downpayment shall be held and disbursed by the Escrow Agent in accordance with the terms of Section 15. At the Closing, the Deposit shall be delivered to the Seller and such amount shall be credited against the portion of the Purchase Price payable pursuant to Section 2(b);
