Food and Beverage Inventory. “Food and Beverage Inventory” means the stock of raw and processed foods, spices, condiments and beverages used to provide food and beverage service within the Hotel, other than the Liquor Inventory.

Food and Beverage Inventory. Except as may otherwise be provided in any Contracts, all Food and Beverage Inventory is free and clear of any lien or claim, except for the Existing Indebtedness.
Food and Beverage Inventory. Seller’s food and beverage inventory, including paper products and supplies, used in the operation of the food and beverage service shall not be inventoried, but Seller covenants to continue to re-stock such food, beverages, products and supplies prior to Closing in the ordinary course and in accordance with its current custom and practice, it being the parties’ intent that the Seller not unreasonably deplete such items prior to Closing in a manner that would prevent Buyer from providing normal food and beverage service and operations immediately post-Closing.
Food and Beverage Inventory. Seller shall receive a credit at Closing for the amount of all unopened inventory of food and beverage. For purposes of this Section 9.1(g), an individual container shall not be considered opened if the container itself is not opened but the crate, case, box or pallet including such container and other similar containers shall have been opened.

To the extent there is inventory not listed on Schedule 5.7 of a quality and quantity not usable or saleable in the ordinary course of business within one year, in lieu of a claim for indemnification, Buyer shall sell and the Selling Shareholders shall purchase such items of inventory at the value carried on the Final Closing Balance Sheet. All inventories not written off are stated at the lower of cost or market.

  • Inventory Management Marketer will be responsible for monitoring future ethanol stock levels projected for Owner's plant to facilitate the marketing program established by Marketer.
