Forecast of the Annual Administrative Charge. The forecasted Annual Administrative Charge shall be calculated by multiplying the forecasted Annual Administrative Costs by a fraction, the numerator of which is the Total Annual Charge (without any allocation of the Annual Administrative Costs) reasonably forecasted by the Authority for the Purchase Period, and the denominator of which is the total revenue that the Authority reasonably forecasts it will receive during the Purchase Period from the operation of all of its systems (including from the Owner for the CDWTL system, but excluding any allocation of the Annual Administrative Costs). The forecast of the Annual Administrative Costs shall equal the actual Annual Administrative Costs for the immediately preceding Purchase Period, together with any reasonably expected deviations; provided that for the initial Purchase Period during the Term, the Authority shall use all reasonable efforts to establish accurate estimates of its Annual Administrative Costs. For example, if the Annual Administrative Costs are projected to be $300,000.00 for the Purchase Period, and forecasted Total Annual Charge (without any allocation of the Annual Administrative Costs) for the Purchase Period is expected to be $40,000.00 while the total revenue reasonably forecasted by the Authority from all sources (including from the Owner for the CDWTL system, but excluding any allocation of the Annual Administrative Costs) is projected to be $4,000,000.00; then the Owner’s proportionate share is $3,000.00.

  • Counterparts This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

  • General The Trustee shall keep proper books of record and account of all the transactions of each Trust under this Indenture at its corporate trust office, including a record of the name and address of, and the Units issued by each Trust and held by, every Unit holder, and such books and records of each Trust shall be open to inspection by any Unit holder of such Trust at all reasonable times during the usual business hours. The Trustee shall make such annual or other reports as may from time to time be required under any applicable state or federal statute or rule or regulations thereunder.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.
