Form of Deed; Conveyance. At each Closing, fee simple title to the applicable Closing Parcel shall be conveyed by City to Developer pursuant to a Deed executed by the City, and any other instruments of assignment or transfer that may be necessary or appropriate, free and clear of all liens, restrictions, reservations, encumbrances and exceptions to title whatsoever, except only Approved Exceptions. City shall not sell, convey, assign, lease or otherwise transfer all or any part of the City Property, or cause or permit any new liability, encumbrance or obligation to be placed or imposed upon all or any part of the City Property from the Effective Date until the Option Expiration Date, without the prior approval of Developer, which approval will not be unreasonably withheld, delayed or conditioned.

Form of Deed; Conveyance. City shall convey fee simple title to the Property to Newtown by special warranty deed, subject to all liens and encumbrances of record. Prior to the close of escrow, City shall use reasonable efforts to remove any matters of record that are reasonably objected to by Newtown (provided that City shall not be required to expend any funds), so that marketable title to the Property may be delivered at the close of escrow. However, the Property is being conveyed in its “AS IS” condition and without any representation or warranty except as otherwise expressly set forth in this Agreement.

  • A ssignment Contractor shall not assign any interest in this Agreement and shall not transfer any interest in the same without the prior written consent of County except that claims for money due or to become due Contractor from County under this Agreement may be assigned by Contractor to a bank, trust company, or other financial institution without such approval. Written notice of any such transfer shall be furnished promptly to County. Any attempt at assignment of rights under this Agreement except for those specifically consented to by both parties or as stated above shall be void.
