At Closing, Seller will (i) transfer Seller’s interest in the Sale Area to Buyer by Quitclaim Deed ("Quitclaim Deed"), subject to all outstanding rights, whether or not of record, in the form attached hereto as Exhibit B, and (ii) release all the 1966 Reserved Rights affecting the Release Area by Release of Reserved Rights ("Release of Reserved Rights"), in the form attached hereto as Exhibit C. B. Seller will reserve from the quitclaim of the Sale Area all minerals and mineral rights without right of surface entry. C. The Sale Area will be quitclaimed by Seller subject to the following covenants, conditions and restrictions which Buyer by the acceptance of the Quitclaim Deed, will covenant for itself, its successors and assigns, faithfully to keep, observe and perform:

  • Duration and Scope of Covenants If any court or other decision-maker of competent jurisdiction determines that any of the Executive’s covenants contained in this Agreement, including, without limitation, any of the Restrictive Covenants, or any part thereof, is unenforceable because of the duration or geographical scope of such provision, then, after such determination has become final and unappealable, the duration or scope of such provision, as the case may be, shall be reduced so that such provision becomes enforceable and, in its reduced form, such provision shall then be enforceable and shall be enforced.

  • Certain Financial Covenants In addition to the covenants described in Section 5.1 and Section 5.2, so long as any Commitment remains in effect, any Advance is outstanding or any amount is owing to any Lender hereunder or under any other Loan Document, the Borrower will perform and comply with each of the covenants set forth on Schedule VI.
