Common use of Formal Licenses Clause in Contracts

Formal Licenses. 21.7. The Parties shall execute such formal licenses, documents as may be necessary or appropriate for registration of the rights granted under this Agreement with Patent Offices and other relevant authorities. The Parties shall use reasonable endeavors to ensure that, to the extent permitted by relevant authorities and unless required to submit this Agreement by any order of law, this Agreement shall not form part of any public record.

The Parties shall execute such formal licenseslicenses in accordance with terms and conditions set out in Section 2(1), documents as may be whenever such formal licenses are necessary or appropriate for registration of the rights granted under this Agreement with Patent Offices relevant patent offices and other relevant authoritiesauthorities in particular countries throughout the Territories. The • Prior to the execution of the formal licenses (if any) referred to in this Section 2(2), the Parties shall use reasonable endeavors to ensure thatso far as possible have the same rights and obligations towards one another as if such licenses had been granted. In the event of any conflict in meaning between any such license and the provisions of this Agreement, to the extent permitted by relevant authorities and unless required to submit this Agreement by any order provisions of law, this Agreement shall not form part of any public recordprevail wherever possible.
