Common use of Former Employment Clause in Contracts

Former Employment. You represent and warrant that your employment by the Company will not conflict with and will not be constrained by any prior employment or consulting agreement or relationship. You represent and warrant that you do not possess confidential information arising out of prior employment which, in your best judgment, would be utilized in connection with your employment by the Company, except in accordance with agreements between your former employer and the Company.

Former Employment. You represent and warrant that your employment by with the Company will not conflict be in violation of any term of any employment contract, consulting arrangement, patent disclosure agreement, non-competition agreement or any other contract or agreement with and will not be constrained by any prior employment employer or consulting agreement any other person or relationshipentity or any obligation imposed by common law or otherwise, relating to your right to be employed by the Company. You represent and warrant that you do not possess confidential information arising out of prior employment (other than with the Company), which, in your best judgment, would be utilized in connection with your employment by the Company, except in accordance with agreements between your former employer and the Company.
