Frequency and Scope. For inspections requested by the Client (such request will include reasonable advance notice) and agreed to by the Custodian, the Custodian reserves the right to impose reasonable limitations on the number, frequency, timing, and scope of such audits.

Notwithstanding anything to the contrary set forth herein, failure by Tops to challenge the amount of any *, Cost, or the Services Fee or information related thereto within the * period immediately following the date such amount is invoiced or rebated to Tops shall be deemed to be Tops’ agreement and consent to such invoiced or rebated amounts, and Tops shall thereafter waive any claim or right to adjust, modify or recover any amounts related thereto.
Frequency and Scope. 1. The LMRC will meet upon submission of written agenda items by either party, but not less than quarterly, unless mutually agreed upon by both parties. If a meeting is scheduled, both parties will submit, to the other party’s designee, sufficient description and data on their agenda items to enable the other party to prepare. In addition, upon request of either party one additional LMRC meeting per year will take place. Management has determined that their designee for this purpose will be Chief, Employee and Labor Relations, Kansas City. Items not on the agenda may be discussed by mutual consent.

For inspections requested by the Client, including, on behalf of its auditor and accountants (such request will include reasonable advance notice) and agreed to by the Custodian, the Custodian reserves the right to impose reasonable limitations on the number, frequency, timing, and scope of such audits. The Custodian shall take all reasonable action, as the Client with respect to the Portfolio may from time to time request, to obtain favorable opinions from the Client’s auditor and accountants with respect to its activities hereunder in connection with the preparation of the audit and/or attestation. The Custodian shall cooperate with the Client’s auditor and accountants and shall take all reasonable actions in the performance of its obligations under this Agreement to provide such information, as may be reasonably requested by the Client from time to time, to such audtior and accountants for the expression of their opinion.

The parties will normally exchange their proposed agendas at least 3 workdays in advance of any scheduled meeting, and as soon as possible for meetings on an ad hoc basis. Such meetings will be devoted to matters of general interest and not to individual grievances.
