Common use of Full Access Clause in Contracts

Full Access. Each of the Sellers will permit, and the Sellers will cause each of the Company and its Subsidiaries to permit, representatives of the Buyers to have full access at all reasonable times, to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, and documents of or pertaining to each of the Company and its Subsidiaries.

Full Access. Each of the Sellers will permit, and the Sellers will cause each of the Company and its Subsidiaries to permit, representatives of the Buyers Buyer to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company, to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, contracts and documents of or pertaining to each of the Company for the purpose of enabling Buyer to conduct its continuing business, legal, environmental, financial and its Subsidiariesaccounting due diligence regarding the Company. In addition, Sellers shall use their reasonable best efforts to provide Buyer with an opportunity to meet with the Company's key customers and distribution partners.
