Common use of Full Payment; No Mitigation Obligation Clause in Contracts

Full Payment; No Mitigation Obligation. The Company's -------------------------------------- obligation to make the payments provided for in sections 4.3(b)(ii)(A)-(E) of this Agreement and otherwise to perform its obligations hereunder shall be subject to any set-off, counterclaim, recoupment, defense or other claim, right or action which the Company may have against Executive, and is also contingent upon Executive's execution of the release described in Section 4.12

In no event shall Executive be obligated to seek other employment or take any other action by way of mitigation of the amounts payable to Executive under any of the provisions of this Agreement.

In no event shall Executive be obligated to seek other employment or take any other action by way of mitigation of the amounts payable to Executive under any of the provisions of this Agreement.
