The Executive shall devote one hundred percent of the Executive's business time to the Executive's duties hereunder, provided, however, that the Executive may serve as a member of the board of directors of another company if the Board, or an appropriate committee thereof, determines in its sole discretion that such membership is not adverse to the interests of the Company.
