Common use of Full Time and Best Efforts Clause in Contracts

Full Time and Best Efforts. Subject to the terms set forth herein, the Company and Xxxxxxx, respectively, agree to continue to employ Executive as their President and Chief Executive Officer and in such other executive capacities as may be requested from time to time by the Company’s or Xxxxxxx’x Board of Directors (the “Board”) or a duly authorized committee thereof, and Executive hereby accepts such continued employment. Executive shall render such other services for each of the Company and corporations that control, are controlled by or are under common control with the Company, as the case may be, and to successor entities and assignees of the Company, as the case may be (the “Affiliates”) as the Company or the Board, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates and with Executive’s experience. During the term of his employment with the Company and its Affiliates, Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company and its Affiliates, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its Affiliates, or that would interfere with his duties hereunder.

Full Time and Best Efforts. Executive shall render such other services for each of the Company and corporations that control, are controlled by or are under common control with the Company, as the case may be, and to successor entities and assignees of the Company, as the case may be (the “Affiliates”) as the Company or the Board, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates and with Executive’s experience. During the term of his employment with the Company and its Affiliates, Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company and its Affiliates, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its Affiliates, or that would interfere with his duties hereunder.

During the term of his employment with the Company and its AffiliatesCompany, Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company and its AffiliatesCompany, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its AffiliatesCompany, or that would interfere with his duties hereunder.

Executive shall render such other services for each of the Company and corporations that control, are controlled by or are under common control with the Company, as the case may be, and to successor entities and assignees of the Company, as the case may be (the “Affiliates”) as the Company or the Board, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates and with Executive’s experience. During the term of his her employment with the Company and its Affiliates, Executive will devote his her full business time and use his her best efforts to advance the business and welfare of the Company and its Affiliates, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its Affiliates, or that would interfere with his her duties hereunder.

Executive shall render such other services for each of the Company and corporations that control, are controlled by or are under common control with the Company, as the case may be, and to successor entities and assignees of the Company, as the case may be (the “Affiliates”) as the Company or the Board, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates and with Executive’s experience. During the term of his her employment with the Company and its Affiliates, Executive will devote his her full business time and use his her best efforts to advance the business and welfare of the Company and its Affiliates, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its Affiliates, or that would interfere with his her duties hereunder.

Subject to the terms set forth herein, the Company and Xxxxxxx Dynamics, Inc., a Delaware corporation and parent entity of the Company (“Xxxxxxx”), respectively, agree to continue to employ Executive as their President and Chief Executive Officer and in such other executive capacities as may be requested from time to time by the Company’s or Xxxxxxx’x Xxxxxxx’ Board of Directors (the “Board”) or a duly authorized committee thereof, and Executive hereby accepts such continued employment. Executive shall render such other services for each of the Company and corporations that control, are controlled by or are under common control with the Company, as the case may be, and to successor entities and assignees of the Company, as the case may be (the “Affiliates”) as the Company or the Board, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates and with Executive’s experience. During the term of his employment with the Company and its Affiliates, Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company and its Affiliates, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its Affiliates, or that would interfere with his duties hereunder.

Subject to the terms set forth herein, the Company and Xxxxxxx, respectively, agree to continue agrees to employ Executive as their its President and Chief Executive Officer and in such other executive capacities capacities, commensurate with Executive's position as President and Chief Executive Officer of the Company, as may be requested from time to time by the Company’s or Xxxxxxx’x 's Board of Directors (the “"Board”") or a duly authorized committee thereof, and Executive hereby accepts such continued employment. Executive shall render such other services for each of the Company and corporations that control, are controlled by or are under common control with controlling the Company, as the case may be, and to successor entities and assignees of the CompanyCompany (the "Affiliates"), as the case may be (the “Affiliates”) as the Company or the Board, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates and with Executive’s 's experience. During the term of his employment with the Company and its AffiliatesCompany, Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company and its AffiliatesCompany, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its AffiliatesCompany, or that would interfere with his duties hereunder; provided, however, that it is understood and agreed by the parties that Executive shall not be precluded from involvement in charitable or civic activities, serving as a member of the board of directors of any other business enterprise or engaging in personal financial investment activities to the extent the same do not compete with or materially interfere with his time or attention to the business of the Company or otherwise violate the terms of this Agreement.

Full Time and Best Efforts. Subject to the terms set forth herein, the Company and Xxxxxxx Dynamics, L.L.C., a Delaware limited liability company and wholly-owned subsidiary of the Company (“Xxxxxxx”), respectively, agree to continue to employ Executive as their President and VP & Chief Executive Financial Officer and in such other executive capacities as may be requested from time to time by the Company’s or Xxxxxxx’x Board of Directors (the “Board”) or a duly authorized committee thereof, and Executive hereby accepts such continued employment. Executive shall render such other services for each of the Company Company, Xxxxxxx and corporations that control, are controlled by or are under common control with controlling the CompanyCompany or Xxxxxxx, as the case may be, and to successor entities and assignees of the CompanyCompany or Xxxxxxx, as the case may be (the “Affiliates”) as the Company or the BoardXxxxxxx, as the case may be, may from time to time reasonably request and shall be consistent with the duties Executive is to perform for the Company and its Affiliates Xxxxxxx and with Executive’s experience. During the term of his employment with the Company and its AffiliatesXxxxxxx, Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company and its AffiliatesXxxxxxx, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company or its AffiliatesXxxxxxx, or that would interfere with his duties hereunder.

Executive shall will render such other services for each of the Company and corporations that controlcontrolled by, are controlled by or are under common control with with, or controlling, directly or indirectly, the Company, as the case may be, and to successor entities and assignees of the Company, as including without limitation ACGI (collectively, the case may be (the “"Company's Affiliates”") as the Company or the Board, as the case may be, may from time to time reasonably request and shall be request, consistent with the Executive's duties Executive is to perform for the Company and its Affiliates and with Executive’s experience. During While employed by the term of his employment with the Company and its AffiliatesCompany, Executive will devote substantially all of his full business time and use his best efforts to advance the business and welfare of the Company, and, except for dividends and distributions which Executive may receive from investments which Executive has on the Effective Date (the "Existing Permitted Investments"), a list of which shall be provided by Executive to the Company and its Affiliatesupon execution of this Agreement, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete would materially interfere with, the business and affairs of the Company or its Affiliates, or that would interfere with his duties hereunder.
