Employment by the Company and Term. (a) FULL TIME AND BEST EFFORTS. Subject to the terms set forth herein, the Company agrees to employ Executive as Chief Financial Officer and Executive hereby accepts such employment. During the term of his employment with the Company, Executive will devote his full time, best efforts and attention to the performance of his duties hereunder and to the business and affairs of the Company.
Employment by the Company and Term. (a) Full Time and Best Efforts. Subject to the terms set forth herein, the Company agrees to employ Executive as Chief Revenue Officer, and in such other managerial capacities as may be requested from time to time by the President and CEO of the Company, and Executive hereby accepts such employment. Executive shall render such other services for the Company and corporations controlled by, under common control with, or controlling, directly or indirectly, the Company, and to successor entities and assignees of the Company (“Affiliates”) as the Company may from time to time reasonably request and as shall be consistent with the duties Executive is to perform for the Company and with Executive’s experience. During the Term (defined below) of his employment with the Company, Executive will devote his full time and use his best efforts to advance the business and welfare of the Company, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company, or that would interfere with his duties hereunder.

Executive shall serve, if elected, as a member of the Board of Directors of the Company, and shall render such other services for the Company and corporations controlled by, under common control with or controlling, directly or indirectly, the Company, and to successor entities and assignees of the Company ("Company's Affiliates") as the Company may from time to time reasonably request and as shall be consistent with the duties Executive is to perform for the Company and with Executive's stature and experience. During the term of his employment with the Company, Executive will devote his full time and exclusive attention to, and use his best efforts to advance, the business and welfare of the Company, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be harmful or detrimental to, or that may compete with, the business and affairs of the Company.
Employment by the Company and Term. (a) Full Time and Best Efforts. Executive’s titles shall be Executive Vice President and Chief Financial Officer reporting directly to the Chief Executive Officer of Salem. Executive agrees to perform all duties reasonable and consistent of a person with the titles of Executive Vice President and Chief Financial Officer as the Chief Executive Officer of Salem may assign to Executive from time-to-time. Executive agrees to devote his entire business time, attention and energies to the business of Salem. Executive also agrees to perform all services hereunder in a manner loyal and faithful to Salem. With the written consent of the Board of Directors of Salem, Executive may accept paid board or trustee positions for other entities and may accept fees for public speaking and published writings. Executive may reasonably participate as a member in community, civic, similar organizations and may pursue personal investments that do not interfere with the normal business activities of Salem. The performance of Executive's duties shall be in Camarillo, California, subject to reasonable travel as the performance of his duties in the business may require.

Executive shall render such other services for the Company and corporations controlled by, under common control with or controlling, directly or indirectly, the Company, and to successor entities and assignees of the Company ("Company's Affiliates") as the Company may from time to time reasonably request and as shall be consistent with the duties Executive is to perform for the Company and with Executive's experience. During the Term (as defined below), Executive will devote his full business time and use his best efforts to advance the business and welfare of the Company, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company, or that would interfere with his duties hereunder.

Subject to the terms set forth herein, the Company agrees to employ Executive as Chairman and Executive hereby accepts such employment. Executive shall have the authority, functions, duties, powers and responsibilities for Executive's corporate offices and positions which are set forth in the Company's bylaws from time to time in effect and such other authority, functions, duties, powers and responsibilities as the Board of Directors of the Company (the "Board") may from time to time prescribe or delegate to Executive, in all cases to be consistent with Executive's corporate offices and positions. During the term of his employment with the Company, Executive will apply, on a full time basis, all of his skill and experience to the performance of his duties in such employment and will not, without the prior consent of the Board, devote substantial amounts of time to outside business activities. Notwithstanding the foregoing sentence, Executive shall be permitted to engage in the outside business activities described on Exhibit A to this Agreement so long as such activities do not prevent Executive from competently discharging his responsibilities to the Company pursuant to this Agreement as determined by the disinterested members of the Board. The performance of Employee's duties shall be in Winston-Salem, North Carolina, subject to such reasonable travel as the performance of his duties in the business may require. Notwithstanding the foregoing, Executive may devote a reasonable amount of his time to civic, community, charitable or passive investment activities.

Subject to the terms set forth herein, the Company agrees to employ Executive as Director, Satellite Sales, and in such other capacities as may be requested from time to time by the Board of Directors of the Company (the "Board") or a duly authorized committee thereof, and Executive hereby accepts such employment. Executive shall render such other services for the Company and corporations controlled by, under common control with or controlling, directly or indirectly, the Company, and to successor entities and assignees of the Company as the Company may from time to time reasonably request and as shall be consistent with the duties Executive is to perform for the Company and with Executive's stature and experience. During the term of his employment with the Company, Executive will devote his full time and attention exclusively to, and use his best efforts to advance, the business and welfare of the Company. Executive shall render such services primarily in the Dallas, Texas area.

Subject to the terms set forth herein, the Company agrees to employ Executive as the Chairman, President and Chief Executive Officer of the Company and Executive hereby accepts such employment. In addition, Executive shall serve as (i) President and Chief Executive Officer of ACI Electronics Investment Corp. and (ii) Chief Executive Officer of each of Aaron's Automotive Products, Inc., ACI Electronics Holding Corp., ATC Information Services, Inc., ATS Remanufacturing, Inc., Autocraft Industries, Inc., Autocraft Remanufacturing Corp., Component Remanufacturing Specialists, Inc. and other subsidiaries expected to result from future acquisitions. During the term of his employment with the Company, Executive shall devote his full time, best efforts and attention to the performance of his duties hereunder and to the business and affairs of the Company, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company, or that would interfere with his duties hereunder.

In addition, Executive shall serve as (i) President and Chief Executive Officer of each of ACI Electronics Investment Corp. and Metran Automatic Transmission Parts Corp. and (ii) Chief Executive Officer of each of Aaron's Automotive Products, Inc., ACI Electronics Holding Corp., ATC Distribution Group, Inc., ATC Information Services, Inc., ATS Remanufacturing, Inc., Autocraft Industries, Inc., Autocraft Remanufacturing Corp., Component Remanufacturing Specialists, Inc., King-O-Matic Industries Limited and RPM Merit, Inc. During the term of his employment with the Company, Executive shall devote his full time, best efforts and attention to the performance of his duties hereunder and to the business and affairs of the Company, and will not engage in any other employment or business activities for any direct or indirect remuneration that would be directly harmful or detrimental to, or that may compete with, the business and affairs of the Company, or that would interfere with his duties hereunder.

Executive shall render such other services for the Company and corporations controlled by, under common control with or controlling, directly or indirectly, the Company, and to successor entities and assignees of the Company ("Company Affiliates") as the Company may from time to time reasonably request and as shall be consistent with the duties Executive is to perform for the Company and Executive's experience.
