Common use of Funded Agreements; General Provisions Annex Clause in Contracts

Funded Agreements; General Provisions Annex. MCA-Benin II will provide the Fiscal Agent (and MCC, if it so requests) a copy of each agreement that is funded (directly or indirectly) with MCC Funding (each, a “Funded Agreement”), regardless of whether MCC has approval rights with respect to such agreement. Unless otherwise instructed by MCC, MCA-Benin II will include in each Funded Agreement (i) a covenant that the counterparty to such agreement (each, a “Counterparty”) will comply with (A) the General Provisions Annex and (B) any instruction received by such Counterparty from MCC regarding the performance by such Counterparty of the terms of the General Provisions Annex notwithstanding any other instruction given by MCA-Benin II; and (ii) a right for MCA-Benin II to terminate such Funded Agreement if such Counterparty fails to comply with the General Provisions Annex or any such instruction of MCC.

Unless otherwise instructed by MCC, MCA-Benin II will Niger shall include in each Funded Agreement (iA) a covenant that the counterparty to such agreement (eacheach a, a “Counterparty”) will shall comply with with (Ai) the General Provisions Annex and (Bii) any instruction received by such Counterparty from MCC regarding the performance by such Counterparty of the terms of the General Provisions Annex notwithstanding any other instruction given by MCA-Benin II; Niger and (iiB) a right for MCA-Benin II MCA- Niger to terminate such Funded Agreement if such Counterparty fails to comply with the General Provisions Annex or any such instruction of MCC.

Unless otherwise instructed by MCCMCC instructs otherwise, MCA-Benin II will Belize shall include in each Funded Agreement (iA) a covenant that the counterparty to such agreement (each, a “Counterparty”) will shall comply with (Ai) the General Provisions Annex and (Bii) any instruction received by such Counterparty from MCC to such counterparty regarding the counterparty’s performance by such Counterparty of the terms of the General Provisions Annex notwithstanding any other instruction given by MCA-Benin IIBelize; and (iiB) a right for MCA-Benin II Belize to terminate such Funded Agreement if such Counterparty counterparty fails to comply with the General Provisions Annex or any such instruction of MCCMCC instruction.

Unless otherwise instructed by MCC, MCA-Benin Senegal II will shall include in each Funded Agreement Agreement: (iA) a covenant that the counterparty to such agreement (each, a “Counterparty”) will comply with each a, (A1) the General Provisions Annex and Annex; and (B2) any instruction received by such Counterparty from MCC regarding the performance by such Counterparty of the terms of the General Provisions Annex Annex, notwithstanding any other instruction given by MCA-Benin Senegal II; and and (iiB) a right for MCA-Benin Senegal II to terminate such Funded Agreement if such Counterparty fails to comply with the General Provisions Annex or any such instruction of MCC.

Unless otherwise instructed by MCC, MCA-Benin II Nepal will include in each Funded Agreement Agreement: (iA) a covenant that the counterparty to such agreement (each, a “Counterparty”) will comply with (Ai) the General Provisions Annex and (Bii) any instruction received by such Counterparty from MCC regarding the performance by such Counterparty of the terms of the General Provisions Annex notwithstanding any other instruction instructions given by MCA-Benin IINepal; and (iiB) a right for MCA-Benin II Nepal to terminate such Funded Agreement if such Counterparty fails to comply with the General Provisions Annex or any such instruction of MCC.

Unless otherwise instructed by MCC, MCA-Benin II El Salvador will include in each Funded Agreement (i) a covenant that the counterparty to such agreement (each, a “Counterparty”) will comply with (A) the General Provisions Annex and (B) any instruction received by such Counterparty from MCC regarding the performance by such Counterparty of the terms of the General Provisions Annex notwithstanding any other instruction given by MCA-Benin IIEl Salvador; and (ii) a right for MCA-Benin II El Salvador to terminate such Funded Agreement if such Counterparty fails to comply with the General Provisions Annex or any such instruction of MCC.

Unless otherwise instructed by MCC, MCA-Benin II will Mongolia shall include in each Funded Agreement Agreement (iA) a covenant that the counterparty to such agreement (each, a “Counterparty”) will shall comply with (Ai) the General Provisions Annex and (Bii) any instruction received by such Counterparty from MCC regarding the performance by such Counterparty of the terms of the General Provisions Annex Annex, notwithstanding any other instruction given by MCA-Benin IIMongolia; and (iiB) a right for MCA-Benin II Mongolia to terminate such Funded Agreement if such Counterparty fails to comply with the General Provisions Annex or any such instruction of MCC.
