Common use of Funding Instructions Clause in Contracts

Funding Instructions. At least three Business Days prior to the date of the Closing, each Purchaser shall have received written instructions signed by a Responsible Officer on letterhead of the Company confirming the information specified in Section 3 including (i) the name and address of the transferee bank, (ii) such transferee bank’s ABA number and (iii) the account name and number into which the purchase price for the Notes is to be deposited.

Funding Instructions. At least three Business Days prior to the date of the Closing, each Purchaser shall have received written instructions signed by a Responsible Officer on letterhead of the Company confirming the information specified in Section 3 including (ia) the name and address of the transferee bank, (iib) such transferee bank’s ABA number and (iiic) the account name and number into which the purchase price for the Notes is to be deposited.

At least three Business Days prior to the date of the Closing, each such Purchaser shall have received written instructions signed executed by a Responsible Officer an authorized financial officer of the Company on letterhead of the Company confirming directing the information specified in Section 3 including manner of the payment of funds and setting forth (ia) the name and address of the transferee bank, (iib) such transferee bank’s ABA number and number, (iiic) the account name and number into which the purchase price for the Notes is to be depositeddeposited and (d) the name and telephone number of the account representative responsible for verifying receipt of such funds.

At With respect to the Series A/B Closing only, at least three Business Days prior to the date of the such Closing, each Purchaser shall have received written instructions signed by a Responsible Officer on letterhead of the Company confirming the information specified in Section 3 3.1 including (ia) the name and address of the transferee bank, (iib) such transferee bank’s ABA number and (iiic) the account name and number into which the purchase price for the Notes is to be deposited.

At least three Business Days prior to the date of the Closing, each Purchaser shall have received written instructions signed by a Responsible Officer on letterhead of the Company Guarantor confirming the information specified in Section 3 including (ia) the name and address of the transferee bank, (iib) such transferee bank’s ABA number and (iiic) the account name and number into which the purchase price for the Notes is to be deposited.

At least three Business Days prior to the date of the Closing, each Purchaser shall have received written instructions (the “Funding Instructions”) signed by a Responsible Officer on letterhead of the Company confirming Issuer designating the information specified bank account for payment of the purchase price of the Notes in accordance with Section 3 including (ia) the name and address of the transferee bank, (iib) such transferee bank’s ABA number and (iiic) the account name and number into which the purchase price for the Notes is to be deposited.
