Until both the Manager and the Subscribers no Purchaser owns Securitieslonger own any Offered Shares, the Company Corporation covenants to maintain the registration of the Common Stock under Section 12(b) or 12(g) of the Exchange Act and to timely file (or obtain extensions in respect thereof and file within the applicable grace period) all reports required to be filed by the Company Corporation after the date hereof pursuant to the Exchange Act even if the Company Corporation is not then subject to the reporting requirements of the Exchange Act.
