Common use of Gaming Authorities and Liquor Laws Clause in Contracts

Gaming Authorities and Liquor Laws. Each party hereto, including, without limitation, the Disbursement Agent, the Construction Consultant, and the Agent, agrees to cooperate with the Gaming Authorities and Liquor Authorities in connection with the administration of their regulatory jurisdiction over the Borrowers, and any applicable legal or regulatory restrictions, and to provide such documents or other information as may be requested by any such Gaming Authorities or Liquor Authorities relating to the Disbursement Agent, the Construction Consultant, the Agent, the Project Documents or the Loan Documents. Notwithstanding any other provision of this Agreement, each Borrower hereby consents to any such cooperation and disclosure by the Disbursement Agent, the Construction Consultant and the Agent to any such Gaming Authorities or Liquor Authorities and releases such parties from any liability for any such cooperation or disclosure. The rights, remedies and powers provided in this Agreement may be exercised only to the extent that the exercise thereof does not violate any applicable provision of the Gaming Laws and Liquor Laws and if prior approval of any Gaming Authorities or Liquor Authorities is required therefor, such approval shall be obtained.

Gaming Authorities and Liquor Laws. Each party hereto, including, without limitation, to this Agreement hereby acknowledges that the Disbursement Agent, Loan Documents and consummation of the Construction Consultant, and transactions contemplated by the Agent, Loan Documents are subject to applicable Gaming Laws. Lender agrees to cooperate with the Gaming Authorities and Liquor Authorities in connection with the administration of their regulatory jurisdiction over Borrower or any of its Subsidiaries, including, without limitation, the Borrowers, and any applicable legal or regulatory restrictions, and to provide provision of such documents or other information as may be requested by any such Gaming Authorities or Liquor Authorities relating to the Disbursement AgentLender, the Construction ConsultantBorrower, the Agent, the Project Documents any Subsidiary of Borrower or the Loan Documents. Notwithstanding any other provision of this Agreement, each Borrower hereby consents to any such cooperation and disclosure by the Disbursement Agent, the Construction Consultant and the Agent Lender to any such Gaming Authorities or Liquor Authorities and releases such parties Lender from any liability for any such cooperation or disclosure. The Once Borrower is licensed by or registered with the Gaming Authorities, the rights, remedies and powers provided in this Agreement may be exercised only to the extent that the exercise thereof does not violate any applicable provision of the Gaming Laws and Liquor Laws and if prior approval of any Gaming Authorities or Liquor Authorities is required therefor, such approval shall be obtained.

The Arranger, the Construction Consultant, Agents and the Agent, agrees each Lender agree to cooperate with the Gaming Authorities and Liquor Authorities in connection with the administration of their regulatory jurisdiction over the BorrowersLoan Parties and their Subsidiaries, and any applicable legal or regulatory restrictionsincluding, and to provide without limitation, the provision of such documents or other information as may be requested by any such Gaming Authorities or Liquor Authorities relating to the Disbursement AgentArranger, the Construction ConsultantAgents, any of the AgentLenders, the Project Documents any Loan Party, any Subsidiary of a Loan Party or the Loan Documents. Notwithstanding any other provision of this Agreement, the Borrower and each Borrower Loan Party hereby consents consent to any such cooperation and disclosure by the Disbursement AgentArranger, the Construction Consultant Agents and the Agent each Lender to any such Gaming Authorities or Liquor Authorities and releases such parties from any liability for any such cooperation or disclosure.
