Gatherer’s Statement. Gatherer shall render a statement to Shipper on or about the last Day of each Month setting forth the amount due Gatherer for all fees incurred by Shipper for the gathering of Gas and other services performed hereunder by Gatherer during the preceding Month. If actual Gas quantities are not available, Gatherer may utilize a reasonable, good faith, estimated quantity based upon quantities received and gathered by Gatherer during the preceding Month. As soon as the actual quantity becomes available, the estimate shall be adjusted and the adjustment shall be reflected in the subsequent Month’s statement. In the event such quantities are estimated for any period, corrected statements shall be rendered by Gatherer to Shipper and paid by Shipper or refunded or credited by Gatherer, as the case may be, in each instance in which the actual quantity received or delivered hereunder with respect to a Month shall be determined to be at variance with the estimated quantity theretofore made the basis of billing and payment hereunder.

Gatherer’s Statement. Gatherer shall render a statement to Shipper on or before the twenty-fifth (25th) Day of each Month setting forth the amount due Gatherer for all fees owed by Shipper hereunder for the gathering of Gas and other services performed hereunder by Gatherer during the preceding Month.
Gatherer’s Statement. Gxxxxxxx shall render a statement per Receipt Point to Producer on or about the twenty-fifth (25th) Day of each Month setting forth (a) the amount due Gatherer for all Fee(s) incurred by Producer for the services performed hereunder by Gxxxxxxx during the preceding Month, (b) the dollar amount due Producer for the settlement quantity of Residue Gas purchased from Producer for that statement period (the “Residue Gas Value”), and (c) the dollar amount due Producer for the settlement quantity of the Producer’s Settlement Gxxxxxx purchased from Producer for that statement period (the “Plant Product Value”). Such statement shall contain reasonably detailed information showing the determination of such Residue Gas Value and such Plant Product Value and any applicable Fee(s). The Parties agree that the Fee(s) owed by Producer to Gxxxxxxx hereunder for such Month may be deducted from the Residue Gas Value and/or Plant Product Value owed to Producer for such Month. Gatherer shall (x) include with such statement an invoice for the difference between the total dollar amount of the Fee(s), and the sum of the Residue Gas Value and Plant Product Value owed to Producer, if such Fee(s) are greater than the sum of the Residue Gas Value and Plant Product Value; or (y) if the sum of if the Residue Gas Value and Plant Product Value owed to Producer are greater than such Fee(s), Gatherer shall pay Producer the difference by wire transfer on or before the last Business Day of the Month following the delivery Month. If actual quantities for Producer’s Residue Gas or Producer’s Settlement Gallons are not available, Gatherer may utilize a reasonable, good faith, estimated quantity based upon quantities received, gathered or extracted by Gatherer during the preceding Month. As soon as the actual quantity becomes available, the estimate shall be adjusted and the adjustment shall be reflected in the subsequent Month’s statement. In the event such quantities are estimated for any period, corrected statements shall be rendered by Gxxxxxxx to Producer and paid by Producer or refunded or credited by Gxxxxxxx, as the case may be, in each instance in which the actual quantity received or delivered hereunder with respect to a Month shall be determined to be at variance with the estimated quantity theretofore made the basis of billing and payment hereunder.
Gatherer’s Statement. Gatherer shall render a statement to Shipper no later than the twenty fifth (25th) business Day of each Month setting forth the amounts due Gatherer, as provided for in Article VI of the Agreement to which this Exhibit C is attached, for gathering along with related services provided to Shipper during the preceding Month pursuant to this Agreement. As soon as the actual quantity becomes available, the estimated quantity shall be adjusted and the adjustment shall be reflected in subsequent Months’ business.

The Buyer and the Seller acknowledge and agree that the completion of the Draft Closing Statement pursuant to this SECTION 9.2(a) shall not be a condition precedent to the obligation of the Buyer or the Seller to consummate the transactions pursuant to the terms of this Agreement. (b) If any items to be adjusted pursuant to this ARTICLE IX are not determinable at the Closing, or if any such adjustments made at the Closing prove to be incorrect, the adjustment shall be made subsequent to the Closing or corrected when the charge is finally determined. The Buyer shall deliver to the Seller no later than 60 days following the Closing Date (except with respect to any item which is not reasonably determinable within such time frame, as to which the time frame shall be extended until such item is reasonably determinable) a schedule of prorations setting forth the Buyer’s determination of prorations not determined at the Closing and any adjustments to the prorations made at Closing that it believes are necessary to complete the prorations as set forth in this ARTICLE IX. Any errors or omissions in computing adjustments or readjustments at the Closing or thereafter shall be promptly corrected or made, provided that the party seeking to correct such error or omission or to make such readjustment shall have notified the other party of such error or omission or readjustment on or prior to the date that is 30 days following the receipt from the other party of such other party’s proposed adjustment or readjustment. The party owing the other party any sum pursuant to any adjustment, or readjustment or correction under this ARTICLE IX shall pay such sum to the other party within 15 days after the same has been determined as set forth above.

  • Earnings Statement The Company will make generally available to its security holders as soon as practicable, but in any event not later than 15 months after the end of the Company’s current fiscal quarter, an earnings statement covering a 12-month period that satisfies the provisions of Section 11(a) and Rule 158 of the Securities Act.

  • SUBMISSION OF THE MONTHLY MI REPORT 4.1 The completed MI Report shall be completed electronically and returned to the Authority by uploading the electronic MI Report computer file to MISO in accordance with the instructions provided in MISO. 4.2 The Authority reserves the right (acting reasonably) to specify that the MI Report be submitted by the Supplier using an alternative communication to that specified in paragraph 4.1 above such as email. The Supplier agrees to comply with any such instructions provided they do not materially increase the burden on the Supplier.

  • Estoppel Statement (a) After request by Lender, Borrower shall within ten (10) Business Days (but, provided there exists no Default or Event of Default, no more often than twice during the course of each fiscal year of Borrower) furnish Lender with a statement, duly acknowledged and certified, (i) with respect to the Loan, setting forth (A) the original principal amount of the Note, (B) the unpaid principal amount of the Loan, (C) the Interest Rate of the Loan, (D) the date installments of interest and/or principal were last paid, (E) any offsets or defenses to the payment of the Debt, if any, and (F) that the Note, this Agreement, the Pledge Agreement and the other Loan Documents are valid, legal and binding obligations and have not been modified or if modified, giving particulars of such modification, (ii) with respect to any Senior Mezzanine Loan, setting forth (A) the original principal amount of the applicable Senior Mezzanine Loan, (B) the unpaid principal amount of the Senior Mezzanine Loan, (C) the interest rate of the Senior Mezzanine Loan, (D) the date installments of interest and/or principal were last paid, (E) any offsets or defenses to the payment of the debt, if any, and (F) that the Senior Mezzanine Note, the Senior Mezzanine Loan Agreement and the other Senior Mezzanine Loan Documents are valid, legal and binding obligations and have not been modified or if modified, giving particulars of such modification and (iii) with respect to the Mortgage Loan, setting forth (A) the original principal amount of the Mortgage Loan, (B) the unpaid principal amount of the Mortgage Loan, (C) the interest rate of the Mortgage Loan, (D) the date installments of interest and/or principal were last paid, (E) any offsets or defenses to the payment of the debt, if any, and (F) that the Mortgage Note, the Mortgage Loan Agreement, the Security Instruments and the other Mortgage Loan Documents are valid, legal and binding obligations and have not been modified or if modified, giving particulars of such modification. (b) Borrower shall exercise reasonable best efforts to deliver to Lender upon request, tenant estoppel certificates from each space tenant leasing space at the Properties, and shall exercise reasonable best efforts to deliver an estoppel certificate from each Ground Lessor, each in form and substance reasonably satisfactory to Lender provided that Borrower shall not be required to deliver such certificates more frequently than two (2) times in any calendar year. (c) After request by Borrower, but not more than twice during the course of each year, Lender shall furnish Borrower with a statement setting forth (i) the original principal amount of the Loan, (ii) the unpaid principal amount of the Loan, (iii) the Interest Rate of the Loan, (iv) the date installments of interest and/or principal were last paid, and (v) that the Loan Documents have not been modified or if modified, giving particulars of such modification.
