Common use of General Release and Waiver of Claims Clause in Contracts

General Release and Waiver of Claims. a. The payments and promises set forth in this Agreement are in full satisfaction of all accrued salary, vacation pay, bonus and commission pay, profit sharing, stock options or other ownership interest in the Company, termination benefits or other compensation to which you may be entitled by virtue of your employment with the Company or your separation from the Company. To the fullest extent permitted by law, you hereby release and waive any other claims you may have against the Company and its owners, agents, officers, shareholders, employees, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC), successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree that any claims you may have for money damages, loss of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreement.

You further agree that By signing this Agreement, you are not releasing or waiving any claims under the California Fair Employment and Housing Act; however, for the avoidance of doubt, you may have for money damages, loss of wages, earnings, commission, bonuses will release and benefits, stock options or other ownership interests in waive such claims once you sign the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreement.Second Release. By signing below, you expressly waive any benefits of Section 1542 of the Civil Code of the State of California, which provides as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” You further agree and the Company do not intend to release claims that any claims you may have not release as a matter of law, including but not limited to claims for money damagesindemnity under California Labor Code section 2802. To the fullest extent permitted by law, loss any dispute regarding the scope of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests this general release shall be determined by an arbitrator under the procedures set forth in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreementarbitration clause below.

(collectively “Releasees”), whether known or not known, including, without limitation, any right or entitlement to payment of any other bonus payment from the Company (other than as included in severance under Section 3(a) above), including but not limited to, any bonus with respect to either the Company’s fiscal year 2022 or the Company’s fiscal year 2023, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California provisions of the Massachusetts Fair Employment and Housing Act, Practices Act and any other laws and/or regulations Pxxxxx Xxxxxx relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree that any claims you may have for money damages, loss of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreement.

To the fullest extent permitted by law, you hereby release and waive any other claims you have or may have against the Company and its owners, agents, representatives, officers, shareholders, employees, partners, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims related to or arising from the Employment Agreement, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree acknowledge that this general release and waiver of claims includes any and all claims arising up to and including the date you execute this Agreement which you have or may have against Releasees. By executing this Agreement, you are not releasing or waiving any claims under the California Fair Employment and Housing Act; however, for the avoidance of doubt, you may have for money damages, loss of wages, earnings, commission, bonuses will release and benefits, stock options or other ownership interests in waive such claims if you execute the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this AgreementFollow On Release.

The Released Claims specifically include but are not limited to, : claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, under common law or equity; claims for additional compensation or benefits arising out of your employment or your separation from employment; wage and hour claims; unlawful discharge; breach of employment, contract; breach of the covenant of good faith and fair dealing; fraud; violation of public policy; defamation; physical injury; emotional distress; negligence; claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under ; the Age Discrimination in Employment Act or (“ADEA”); Older Workers Benefit Protection Act, and/or claims based on disability or under Act (“OWBPA”); the Employee Retirement Income Security Act of 1974 (“ERISA”); the Americans with Disabilities Act. Stat.); the Florida Whistleblower Protection Act (§§ 448.101 to 448.105, Fla. Stat.); the Florida Workers' Compensation Retaliation provision (§ 440.205, Fla. Stat.); the Florida Minimum Wage Act (§ 448.110, Fla. Stat.); and any claims you may have for money damagesother federal, loss of wagesstate, earningsor local laws, commissionconstitution, bonuses rule, ordinance, order, and/or regulations, including their amendments and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreementrespective implementing regulations.

You further agree that any claims you may have for money damages, loss of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreement.

You further agree that By signing this Agreement, you are not releasing or waiving any claims under the California Fair Employment and Housing Act; however, for the avoidance of doubt, you may have for money damages, loss of wages, earnings, commission, bonuses will release and benefits, stock options or other ownership interests in waive such claims once you sign the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this AgreementSecond Release.

To the fullest extent permitted by law, and except with respect to rights and entitlements specifically provided under this Agreement, you and BTM LLC hereby release and waive any other claims you may have against the Company and its owners, agents, officers, shareholders, employees, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims of any kind under the Merger Agreement, the Offer Letter, the CIC and Severance Agreement and the Amended Holdback Agreement, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation compensation, benefits, equity (whether in the form of stock, stock options, RSUs or benefits otherwise) or other ownership interest in the Company arising out of your employment or your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the Utah Antidiscrimination Act, the California Fair Employment and Housing Act, Act and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree that any claims you may have for money damages, loss of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreement.

(a) The payments and promises set forth in this Agreement are in full satisfaction of all accrued salary, vacation pay, bonus and commission pay, profit sharingprofitsharing, stock, stock options or other ownership interest in the Company, termination benefits or other compensation to which you may be entitled by virtue of your employment with the Company or the end of your separation from employment with the Company. To the fullest extent permitted by law, you hereby release and waive any other claims you may have against the Company and its owners, agents, officers, shareholders, employees, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or the end of your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, Act and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree that To the fullest extent permitted by law, the Company hereby releases and waives any claims you it may have for money damagesagainst you and your successors and assigns, loss whether known or not known, including, but not limited to claims relating to your employment with the Company and separation therefrom, but excluding claims of wagesfraud, earningsmisappropriation of trade secrets, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees breach of your Proprietary Information and costs, reinstatement and other equitable relief, are waived and forever released by you under this Inventions Agreement.

General Release and Waiver of Claims. a. (a) The payments and promises set forth in this Agreement are in full satisfaction of all accrued salary, vacation pay, bonus and commission pay, profit sharingprofit‑sharing, stock, stock options or other ownership interest in the Company, termination benefits or other compensation to which you may be entitled by virtue of your employment with the Company or your separation from the Company, including pursuant to that certain Executive Employment Agreement between you and the Company dated March 9, 2018 (the “Employment Agreement”). To the fullest extent permitted by law, you hereby release and waive any other claims you have or may have against the Company and its owners, agents, representatives, officers, shareholders, employees, partners, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims related to or arising from the Employment Agreement, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, Act and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree acknowledge that this general release and waiver of claims includes any and all claims arising up to and including the date you execute this Agreement which you have or may have for money damages, loss of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreementagainst Releasees.

General Release and Waiver of Claims. a. The payments and promises set forth in this Agreement and the Second Release are in full satisfaction of all of your rights pursuant to your Change in Control and Severance Agreement dated August 28, 2021 (the “CIC Severance Agreement”), as well as all accrued salary, vacation pay, bonus and commission pay, profit sharing, stock, stock options or other ownership interest in the Company, termination benefits or other compensation to which you may be entitled by virtue of your employment with the Company or your separation from the Company. To the fullest extent permitted by law, law but subject to Section 6(c) below,you hereby release and waive any other claims you may have against the Company and its owners, agents, officers, shareholders, employees, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or your separation of employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree that By signing this Agreement, you are not releasing or waiving any claims under the California Fair Employment and Housing Act; however, for the avoidance of doubt, you may have for money damages, loss of wages, earnings, commission, bonuses will release and benefits, stock options or other ownership interests in waive such claims once you sign the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this AgreementSecond Release.

To the fullest extent permitted by law, you hereby release and waive any other claims you may have against the Company Company, and its their respective owners, agents, officers, shareholders, employees, directors, attorneys, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims arising under or related to your employment relationship with the Company and the termination of that relationship, claims arising from or related to your offer of employment dated March 18, 2011 (the “Offer Letter”), claims under any employment laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation compensation, stock or other forms of equity or other benefits arising out of your employment or your separation of resignation from employment, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, Washington Law Against Discrimination and any other laws and/or regulations relating to employment or employment discrimination, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree that any claims you may have for money damages, loss of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this Agreement.

To the degree that you assert, have asserted, or can assert any claim for unpaid wages or compensation of any type prior to the execution of this Agreement, you acknowledge that the Company has a good faith dispute regarding whether any such wages or compensation are due to you, and as such, this Agreement, and the consideration paid to you hereunder, constitute a compromise of a good faith dispute. To the fullest extent permitted by law, you hereby release and waive waive, on your own behalf as well as on behalf of your heirs and assigns, any other claims you may have against the Company and its owners, agents, officers, shareholders, employees, directors, attorneys, consultants, subscribers, subsidiaries, affiliates (including, without limitation, Rambus Delaware LLC)affiliates, successors and assigns (collectively “Releasees”), whether known or not known, including, without limitation, claims under any employment applicable laws, including, but not limited to, claims of unlawful discharge, breach of contract, breach of the covenant of good faith and fair dealing, fraud, violation of public policy, defamation, physical injury, emotional distress, claims for additional compensation or benefits arising out of your employment or your separation of employment, claims relating in any way to any right to protected leave, claims under Title VII of the 1964 Civil Rights Act, as amended, the California Fair Employment and Housing Act, the New York Human Rights Law, and any other laws and/or regulations relating to employment or employment discriminationdiscrimination or harassment, including, without limitation, claims based on age or under the Age Discrimination in Employment Act or Older Workers Benefit Protection Act, and/or claims based on disability or under the Americans with Disabilities Act. You further agree The Company represents that any its officers and directors know of no claims you may have for money damages, loss or potential claims of wages, earnings, commission, bonuses and benefits, stock options or other ownership interests in the Company, medical expenses, attorneys’ fees and costs, reinstatement and other equitable relief, are waived and forever released by you under this AgreementCompany against you.
