Common use of Good Discharge Clause in Contracts

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any distribution or payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility Agent on behalf of the Secured Parties Lenders and any distribution or payment made in that way shall be a good discharge, to the extent of that paymentpayment or distribution, by the Security Agent. (b) The Security Agent is under no obligation to make the payments payment to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are any Unpaid Sum is denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment or distribution to be made in respect of any of the Secured Liabilities Obligations by the Security Agent to a Finance Party (other than itself) may be made to the Facility Agent on behalf of the Secured Parties such Finance Party and any payment made in that way shall be a good discharge, to the extent of that paymentpayment or distribution, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent any payment or distribution under paragraph (a) above this Agreement in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party applicable Secured Obligations are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (aA) Any payment to be made in respect of the Secured Liabilities by the Security and Intercreditor Agent may be made to the Facility relevant Agent on behalf of the Secured Parties a Finance Party and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security and Intercreditor Agent. (bB) The Security and Intercreditor Agent is under no obligation to make the payments to the Facility Agent Agents under paragraph (aA) above in the same currency as that in which the obligations and liabilities Liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a‎(a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and the Hedge Counterparties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party and the Hedge Counterparties are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility Agent on behalf of the Secured Parties Lenders and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities any amount owing to the relevant Finance Party are is denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities Obligations by the Security Agent Agent: (i) may be made to the Facility Agent relevant Representative on behalf of its Creditors; or (ii) shall be made directly to the Secured Parties Hedge Counterparties or the Cash Management Providers, as applicable, and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities Obligations owing to the relevant Finance Party Creditor are denominated.

Good Discharge. (a) 29.6.1 Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) 29.6.2 The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) 29.6.1 above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility relevant Agent on behalf of its Lenders and to the First Ranking Agent on behalf of the Secured Parties Hedge Providers and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent Agents under paragraph (a) above of this Clause 13.5 in the same currency as that in which the obligations and liabilities owing to Liabilities of the relevant Finance Party Lender are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities Finance Documents by the Security Agent may be made to the Facility Paying Agent on behalf of the Secured Parties its Lenders and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Paying Agent under paragraph (a) above of this Clause 24.19 in the same currency as that in which the obligations and liabilities owing to under the Finance Documents of the relevant Finance Party Lender are denominated.

Good Discharge. (aA) Any payment to be made in respect of the Secured Liabilities by the Security Proceeds Agent may be made to the Facility relevant Agent on behalf of the Secured Parties relevant Finance Party and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Proceeds Agent. (bB) The Security Proceeds Agent is under no obligation to make the payments to the Facility Agent Agents under paragraph (aA) above in the same currency as that in which the obligations and liabilities Liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any distribution or payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility Administrative Agent on behalf of the Secured Parties and any distribution or payment made in that way shall be a good discharge, to the extent of that paymentpayment or distribution, by the Security Agent. (b) The Security Agent is under no obligation to make the payments payment to the Facility Administrative Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are any Unpaid Sum is denominated.

Good Discharge. (a) Any distribution or payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility Agent on behalf of the Secured Parties and any distribution or payment made in that way shall be a good discharge, to the extent of that paymentpayment or distribution, by the Security Agent. (b) The Security Agent is under no obligation to make the payments payment to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are any Unpaid Sum is denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above of this Clause 31.6 in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above of this Clause 26.6 in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any distribution or payment to be made in respect of the Secured Liabilities Obligations by the Security Agent may be made to the Facility Agent on behalf of the Secured Parties Lenders and any distribution or payment made in that way shall be a good discharge, to the extent of that paymentpayment or distribution, by the Security Agent. (b) The Security Agent is under no obligation to make the payments payment to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are any Unpaid Sum is denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities obligations and liabilities secured by the Security Documents by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall will be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the a Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the that Security Agent. (b) The No Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above of this Clause 26.6 in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.

Good Discharge. (a) Any payment to be made in respect of the Secured Liabilities by the Security Agent may be made to the Facility Agent on behalf of the Secured Finance Parties and any payment made in that way shall be a good discharge, to the extent of that payment, by the Security Agent. (b) The Security Agent is under no obligation to make the payments to the Facility Agent under paragraph (a) above of this Clause 25.6 in the same currency as that in which the obligations and liabilities owing to the relevant Finance Party are denominated.
