Industrial and Commercial Bank of China. (Macau) Limited in its capacity as agent for the Common Security Agent under the Power of Attorney (the “POA Agent”). It is agreed as follows:
Industrial and Commercial Bank of China. (Macau) Limited in its capacity as disbursement agent for the agent under the Term Loan Facility Disbursement Agreement (the “Disbursement Agent”); and
Industrial and Commercial Bank of China. (Macau) Limited in its capacity as POA agent under the Facilities Agreement (the “POA Agent”);
Industrial and Commercial Bank of China. LIMITED, acting through its Beijing branch as sole bookrunner (in such capacity the Arranger);
Industrial and Commercial Bank of China. LIMITED, acting through its Beijing branch as administrative agent and security trustee (in such capacity the Facility Agent). IT IS AGREED as follows:
Industrial and Commercial Bank of China. (Macau) Limited, incorporated with limited liability under the laws of the Macau SAR in its capacity as common security agent and trustee for the Secured Parties (the “Common Security Agent”);
Industrial and Commercial Bank of China. (MACAU) LIMITED, as Facility Agent (for itself and the other Finance Parties) acting on the instructions of the Majority Lenders Date: 24 FEB 2021

To specify both parties’ rights and obligations, in accordance with this Contract Law, the Guarantee Law, the Property Law and other relevant laws and regulations, Party A and Party B make and enter into this Contract through unanimity through equal consultation.
