Good Faith Commitment to Resolving Disputes. The Parties agree to devote such time, resources, and attention as needed to attempt to resolve disagreements concerning this MOA at the earliest time possible. In the event that any disagreement arises among the Parties concerning this Agreement, including disagreements regarding the meaning of, or any Party’s compliance with, this MOA, the Parties shall first attempt to resolve such disagreements on an informal basis.

In the event that any disagreement arises among the Parties concerning this Agreement, including disagreements regarding the meaning of, or any Party’s compliance with, this Agreement, or any proposed decision or recommendation pending before a forum, the Parties shall first attempt to resolve such disagreements on an informal basis. Each Party participating in formal dispute resolution shall cooperate in good faith to promptly schedule, attend, and participate in the dispute resolution process to the extent resources allow.

The decision of the arbitrator(s) shall be final and binding upon the Parties, and judgment on the award may be entered in any court having jurisdiction. The decision of the arbitrator(s) may be appealed solely on the grounds that the conduct of the arbitrator(s), or the decision itself, violated the standards set forth in the Federal Arbitration Act or the Administrative Dispute Resolution Act. The final decision of the arbitrator(s) must also be filed with FERC if it affects jurisdictional rates, terms and conditions of service, Interconnection Facilities, or Network Upgrades.
