Common use of Good governance Clause in Contracts

Good governance. Neither the CONSULTANT nor its employees, agents or Subcontractors, or their employees or agents, shall make any payment or give anything of value to any official of any government or public international organization (including any officer or employee of any government department, agency or instrumentality) to influence his/her or its decision, or to gain any other advantage for the COMPANY or the CONSULTANT in connection with the Services performed hereunder. The CONSULTANT shall immediately notify the COMPANY in writing of any violation of this clause. In the event of any violation of this clause, the COMPANY may, at its sole option, terminate this Agreement at any time and notwithstanding any other provision of this Agreement, and pay no compensation or reimbursement to the CONSULTANT for any Services performed after the date of such violation.
