Good Standing; Authority. The Borrower and each Subsidiary (if either is not an individual) is duly organized, validly existing and in good standing under the laws of the jurisdiction in which it was formed. The Borrower and each Subsidiary is duly authorized to do business in each jurisdiction in which failure to be so qualified might have a material adverse effect on its business or assets and has the power and authority to own each of its assets and to use them in the ordinary course of business now and in the future.

(d) All corporate actions taken and which will be taken in connection with the Agreement have been duly authorized by all required corporate actions and the Buyer has not taken any action that, in any respect, conflicts with, constitutes a default under or results in any violation of any provision of its articles of association or by-laws. (e) The Buyer’s authorized representative has all the necessary corporate powers to enter into this Agreement.
Good Standing; Authority. (i) Next Metrology is a limited liability company, validly existing, duly incorporated and in good standing under the laws of the Czech Republic. (ii) No resolution has been passed or will be passed prior to Completion to approve the winding up of Next Metrology. (iii) Next Metrology has all the necessary powers and authority to own, operate, use, license or lease its assets and to carry on its business activity as it has been and is currently carried on.
