Good Standing of Agreements. The Vendor is not in material default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound relating to the Purchased Assets, and there exists no state of facts which, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments are now in good standing and in full force and effect without amendment thereto, the Vendor is entitled to all benefits thereunder and, to the best of the knowledge of the Vendor, the other parties to such contracts, agreements, commitments, indentures and other instruments are not in material default or breach of any of their obligations thereunder. There are no contracts, agreements, commitments, indentures or other instruments relating to the Purchased Assets under which the Vendor's rights or the performance of its obligations are dependent on or supported by the guarantee of or any security provided by any other person.
Good Standing of Agreements. The Company is not in default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound and there exists no state of facts which, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments are now in good standing and in full force and effect without amendment thereto, the Company is entitled to all benefits thereunder and, to the best of the knowledge of the Vendors and the Company, the other parties to such contracts, agreements, commitments, indentures and other instruments are not in default or breach of any of their obligations thereunder. There are no contracts, agreements, commitments, indentures or other instruments under which the Company's rights or the performance of its obligations are dependent upon or supported by the guarantee of or any security provided by any other person.

The Purchaser is not in default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound save and except in any case which would not have a Material Adverse Effect and there exists no state of facts which, to the best of the knowledge of the Purchaser, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments have been duly authorized, executed and delivered and are now in good standing and in full force and effect without amendment thereto, the Purchaser is entitled to all benefits thereunder and, to the best of the knowledge of the Purchaser, the other Parties to such contracts, agreements, commitments, indentures and other instruments are not in default or breach of any of their obligations thereunder save and except in any case which would not have a Material Adverse Effect.

ETS is not in default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound save and except in any case which would not have a Material Adverse Effect and there exists no state of facts which, to the best of the knowledge of ETS, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments have been duly authorized, executed and delivered and are now in good standing and in full force and effect without amendment thereto; ETS are entitled to all benefits thereunder; and, to the best of the knowledge of ETS, the other parties to such contracts, agreements, commitments, indentures and other instruments are not in default or breach of any of their obligations thereunder save and except in any case which would not have a Material Adverse Effect.
Good Standing of Agreements. (q) Schedule 4.1(q) contains a list of all contracts material to Meridex. Other than as disclosed to Meridex in writing, BSI is not in default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound save and except in any case which would not have a material adverse effect and there exists no state of facts which, to the best of the knowledge of BSI, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments have been duly authorized, executed and delivered and are now in good standing and in full force and effect without amendment thereto, BSI is entitled to all benefits thereunder and, to the best of the knowledge of BSI, the other parties to such contracts, agreements, commitments, indentures and other instruments are not in default or breach of any of their obligations thereunder save and except in any case which would not have a material adverse effect.

The Target is not in default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound and there exists no state of facts which, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments are now in good standing and in full force and effect without amendment thereto, the Target is entitled to all benefits thereunder and, to the best of the knowledge of the Vendor, the other parties to such contracts, agreements, commitments, indentures and other instruments are not in default or breach of any of their obligations thereunder. There are no contracts, agreements, commitments, indentures or other instruments under which the Target's rights or the performance of its obligations are dependent upon or supported by the guarantee of or any security provided by any other person.

CCSA is not in default or breach of any of its obligations under any one or more contracts, agreements (written or oral), commitments, indentures or other instruments to which it is a party or by which it is bound and there exists no state of facts which, after notice or lapse of time or both, would constitute such a default or breach. All such contracts, agreements, commitments, indentures and other instruments are now in good standing and in full force and effect and CCSA is entitled to all benefits thereunder.
Good Standing of Agreements. None of the Altius Group is in default or breach of any of its obligations under any one or more Contracts to which it is a party or by which it is bound and there exists no state of facts which, to the best of the knowledge of any of the Altius Group, after notice or lapse of time or both, would constitute such a default or breach. All such Contracts are now in good standing and in full force and effect and, to the best of the knowledge of the Altius Group, the other parties to such Contracts are not in default or breach of any of their obligations thereunder.
Good Standing of Agreements. Immunall is not in default or breach of any of its obligations under any one or more Contracts to which it is a party or by which it is bound and there exists no state of facts which, to the best of the knowledge of Immunall, after notice or lapse of time or both, would constitute such a default or breach. All such Contracts are now in good standing and in full force and effect, Immunall is entitled to all benefits thereunder and, to the best of the knowledge of Immunall, the other parties to such Contracts are not in default or breach of any of their obligations thereunder. There are no Contracts under which Immunall's rights or the performance of its obligations are dependent upon or supported by the guarantee of or any security provided by any other person.
Good Standing of Agreements. (a) No Cannavative Entity is in default or breach of any of its material obligations under any Material Contract to which it is party or by which it is bound and there exists no state of facts which, after notice or lapse of time or both, would constitute such a default or breach; (b) all such Material Contracts are now in full force and effect, and any and all amendments thereto are described in the Disclosure Schedules; and (c) to the knowledge of Cannavative, the other parties to such Material Contracts are not in default or breach of any of their material obligations thereunder.
