Governance Agreement Established. The Practice Group represents, warrants and covenants that they will have, and shall maintain in writing, for the period during which the Agreement is in effect, a governance agreement between the Partners that: (a) establishes the respective and mutual obligations of the Partners, and the processes to support those obligations; (b) establishes the roles and responsibilities of the Partners, including a process for decision-making; (c) establishes a dispute resolution mechanism to resolve disputes that may arise between or among the members of the Practice Group; (d) states the relationship among the Partners, including the process for changing this relationship by: (i) admitting new partners; (ii) partners withdrawing; (iii) expulsion of partners; and (iv) inviting all partners into the partnership; (e) has a set of guidelines that: (i) establishes the expected code of conduct and ethical responsibilities at all levels of the Practice Group, including in financial conduct; (ii) enables efficient decision-making among the Partners; (iii) ensures the ongoing effective functioning of the Practice Group, including the caseload allocation; (iv) facilitates the delivery of Midwifery Services; and (v) enables the timely identification of risks to the delivery of Midwifery Services, and strategies to address the identified risks; (f) has a set of policies and processes for the purposes of: (i) receiving, managing, allocating and distributing the Funds, including how funding is distributed to Members and what expenses are funded by the Partners; (ii) managing access to personal, financial and other information; (iii) allocating vacation time, addressing midwife illness, and for short and long-term disability leaves and returns to work; (iv) ensuring that any reports or information a Member provides to the Practice Group is consistent and sufficient to enable the Group to meet its obligations under the Agreement. (g) deals with such other matters as the Practice Group considers necessary to ensure that all Members properly and efficiently carry out their respective and mutual obligations under the Agreement.

(fh) has creates a set of policies and processes for the purposes of:
