Governing Authority. 1. The laws of the State of Colorado, without giving effect to its conflicts of law principles, govern all matters arising out of or relating to this Agreement, including, without limitation, its validity, interpretation, construction, performance, and enforcement. 2. Both Parties attest that each has received the appropriate and necessary approvals from their respective governing bodies and that the signatories below each have the authority to execute this Agreement on behalf of their respective entity.
