Governing Law and Courts. This Agreement, its terms, clauses, implementation and disputes shall be governed by the laws of the State of New York and all disputes between the parties arising out of this Agreement shall be subject to the jurisdiction of the federal and state courts exclusively held in Hyderabad, India.
