Governing Law and Courts. This Contract and all related contracts will be governed in all respects, whether as to validity, construction, capacity or otherwise, by the laws of the State of North Carolina, without regard to its conflict of laws rules. Any litigation with respect to this Contract and any resulting contract shall be brought only in the state courts of North Carolina.
