Common use of Governing Law; Jurisdiction; Dispute Resolution Clause in Contracts

Governing Law; Jurisdiction; Dispute Resolution. (a) The validity, performance and construction of this contract shall be governed by and construed according to the laws of the Province of Ontario including the federal laws of Canada applicable therein, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods and any conflict of law provisions that would require application of another choice of law.
