Governing Law; Jurisdiction; Service of Process; Attorney’s Fees. This Agreement and the Partnership shall be governed by and construed in accordance with the law of the State of Delaware. Any action or proceeding seeking to enforce any provision of, or based on any right arising out of, this Agreement shall be brought against any of the parties in the courts of the State of New York, County of New York, or, if it has or can acquire jurisdiction, in the United States District Court for the Southern District of New York, and each of the parties consents to the jurisdiction of such courts (and of the appropriate appellate courts) in any such action or proceeding and waives any objection to venue laid therein. Process in any action or proceeding referred to in the preceding sentence may be served on any party anywhere in the world. No party shall be entitled to an award of attorneys’ fees in any action brought under this Agreement unless it is found in any such action that the other party committed fraud or such party’s conducted constituted willful misconduct.

Governing Law; Jurisdiction; Service of Process; Attorney’s Fees. This Agreement shall be governed by the laws of the State of California, U.S.A., without regard to any conflict of law principles. Any action or proceeding seeking to enforce any provision of, or based on any right arising out of, this Agreement may be brought against any of the parties exclusively in the courts located in Los Angeles County, California, U.S.A. and each of the parties consents to the jurisdiction of such courts (and of the appropriate appellate courts) in any such action or proceeding and waives any objection to venue laid therein. Process in any action or proceeding referred to in the preceding sentence may be served on any party anywhere in the world. If any party hereto commences any action or other proceeding against any other party in connection with this Agreement, the prevailing party in such action or proceeding will be entitled to recover from the applicable other party reasonable attorneys' fees, costs and expenses incurred by such prevailing party in connection with such action or proceeding and in connection with enforcing any judgment or order thereby obtained.
