Common use of Government Contracts Clause in Contracts

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000250,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,00050,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five two (52) Business Days of the creation thereof) notify Collateral Agent thereof and, promptly (and in any event within five two (52) Business Days) after request by Collateral Agent, execute any instruments or take any steps reasonably required by Collateral Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Collateral Agent, for the benefit of the Subordinated Lender Group and the Bank Product ProvidersGroup, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,0001,000,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors (other than Limited Grantor) shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product ProvidersSecured Parties, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000, if If any Account or Chattel Paper Paper, individually or in the aggregate with a value in excess of Twenty-Five Thousand Dollars ($25,000), arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five two (52) Business Days of the creation thereof) notify Agent thereof and, promptly (in writing and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent Agent, to the extent permitted under, and in accordance with, applicable law, in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,0003,000,000, if any Account or Chattel Paper constituting Collateral arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five ten (510) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five ten (510) Business Days) after request by Agent, execute any instruments or use commercially reasonable efforts to take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000200,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other Following the request of Agent, other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,0001,000,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product ProvidersSecured Parties, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;.

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000500,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law; provided that, so long as no Event of Default shall have occurred, Agent shall not require Grantors to execute any such instruments or take any such steps with respect to such contracts;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000, if If any Account or Chattel Paper in an amount of more than $100,000 arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereofthereof or if the aggregate amount of Accounts or Chattel Paper arising out of contracts with the United States of America or any department, agency, or instrumentality thereof exceed $250,000, Grantors shall promptly (and in any event within five (5) 2 Business Days of the creation thereof) notify Agent thereof and, promptly (in writing and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof given under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,0001,000,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000500,000 in any calendar year, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000200,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Administrative Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Administrative Agent, execute any instruments or take any steps reasonably required by Administrative Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Administrative Agent, for the benefit of the Lender Group itself, as Lender, and the Bank Product ProvidersLenders, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,0001,000,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five ten (510) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five ten (510) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product ProvidersGroup, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000, if If any Account or Chattel Paper (to the extent the aggregate fair market value of all such Collateral for all Grantors exceeds $250,000) arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (in writing and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000500,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five two (52) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five two (52) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product ProvidersLenders, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,0001,000,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Collateral Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Collateral Agent, execute any instruments or take any steps reasonably required by Collateral Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Collateral Agent, for the benefit of the Lender Group and the Bank Product ProvidersGroup, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000250,000, if any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;.

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000, if If any Account or Chattel Paper arises out of a contract or contracts with the United States of America or any department, agency, or instrumentality thereofthereof and the amount of such contract or contracts, individually or in the aggregate, exceeds $25,000, Grantors shall promptly (and in any event within five two (52) Business Days (or such longer period as shall be agreed to by the Administrative Agent) of the creation thereof) notify the Administrative Agent thereof and, promptly (in writing and in any event within five (5) Business Days) after request by Agent, execute any instruments documents or take any steps reasonably required by Agent Fifth Star in order that all moneys due or to become due under such contract or contracts shall be assigned to the Administrative Agent, for the benefit of the Lender Group and the Bank Product ProvidersSecured Parties, and shall provide written notice thereof given under the Assignment of Claims Act or other applicable law;Requirement of Law.

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000500,000, if any Account or Chattel Paper arises out of a contract or contracts with Canada, the United States of America Crown or any department, agency, or instrumentality thereof, Grantors shall promptly (and in any event within five (5) Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) Business Days) after request by Agent, execute any instruments or take perform any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group and the Bank Product Providers, and shall provide written notice thereof under the Assignment of Claims Financial Administration Act (Canada) or other applicable law;

Government Contracts. Other than Accounts and Chattel Paper the aggregate value of which does not at any one time exceed $100,000250,000, if any Account or Chattel Paper of any Loan Party arises out of a contract or contracts with the United States of America or any State or any department, agency, or instrumentality thereof, Grantors Loan Parties shall promptly (and in any event within five (5) 5 Business Days of the creation thereof) notify Agent thereof and, promptly (and in any event within five (5) 5 Business Days) after request by Agent, execute any instruments or take any steps reasonably required by Agent in order that all moneys due or to become due under such contract or contracts shall be assigned to Agent, for the benefit of the Lender Group Agent and the Bank Product Providerseach Lender, and shall provide written notice thereof under the Assignment of Claims Act or other applicable law;.
