Government Watch List. Each Party represents that it is not included in or listed: (i) on the List of Excluded Individuals/Entities maintained by the HHS Office of Inspector General pursuant to 42 U.S.C. Sections 1320a-7, 13955ccc, 1320c-5 and regulations promulgated thereunder, which, as of the Effective Date, can be searched at the internet website xxxx://xxxxxxxxxx.xxx.xxx.xxx/; (ii) on the Excluded Parties List System maintained by the United States General Services Administration which, as of the Effective Date, can be searched at the internet website xxx.xxx.gov; or (iii) as a Specially Designated National or Blocked Person on the U.S Treasury’s Office of Foreign Assets Control list of Specially Designated Nationals and Blocked Persons which, as of the Effective Date, is located at the internet web site xxxx://xxx.xxxxxxx.xxx/offices/enforcement/ofac/sdn/. Each Party will provide to the other Party prompt written notice at any time such Party is included in or listed on any of the foregoing lists.

Supplier shall immediately notify Buyer if Supplier, any parent, subsidiary or affiliate of Supplier or Personnel, or any sub-supplier of Supplier, should come to be included on the OIG List, the GSA List or any Restricted Party List.

Each party shall immediately notify the other party if such party, any parent, subsidiary, or Affiliate of such party, or its officers, directors, or Personnel, or any sub-supplier of Supplier, should come to be (a) a Restricted Party, (b) included on the OIG List, or (c) listed as excluded on the XXX List.

  • Government Consents Borrower and each Subsidiary have obtained all consents, approvals and authorizations of, made all declarations or filings with, and given all notices to, all governmental authorities that are necessary for the continued operation of Borrower’s business as currently conducted, except where the failure to do so would not reasonably be expected to cause a Material Adverse Effect.

  • Government Regulation Neither Borrower nor any other Restricted Person owing Obligations is subject to regulation under the Public Utility Holding Company Act of 1935, the Federal Power Act, the Investment Company Act of 1940 (as any of the preceding acts have been amended) or any other Law which regulates the incurring by such Person of Indebtedness, including Laws relating to common contract carriers or the sale of electricity, gas, steam, water or other public utility services.

  • Government Receivables Take all steps necessary to protect Agent’s interest in the Collateral under the Federal Assignment of Claims Act, the Uniform Commercial Code and all other applicable state or local statutes or ordinances and deliver to Agent appropriately endorsed, any instrument or chattel paper connected with any Receivable arising out of contracts between any Borrower and the United States, any state or any department, agency or instrumentality of any of them.
